Development Phases. Aurora will design and develop the LILLYUHTSS in accordance with the following development phases ("Development Phases"), as more fully described in Exhibit 1.1 hereto. Aurora will develop and install the deliverables for the LILLYUHTSS ("Deliverables") contemplated by each such Development Phase (all such Deliverables for a Development Phase comprising a "Module") not later than the dates set forth below (each such date referred to as a "LILLYUHTSS Target Delivery Date"):
i) Module One - Automated Storage and Retrieval - ***; and
ii) Module Two - Liquid handling, Screening Formats, Detection and Screen Development Stage - ***; and
iii) Module Three - Informatics and Integration ("Module Three"), and Installation of a Fully Operational, Complete LILLYUHTSS System - ***
Development Phases. Aurora will design and develop the UHTSS in accordance with the following development phases ("Development Phases"), as more fully described in Exhibit 1.1 hereto. Aurora will develop and install the deliverables ("Deliverables") contemplated by each such Development Phase (all such Deliverables for a Development Phase comprising a "Module") not later than the dates set forth below (each such date referred to as a "UHTSS Target Delivery Date"):
iii) It is understood and agreed that BMS' input on the design and use of such Modules is an essential element of this collaboration, and the parties will cooperate to ensure that such input is solicited and provided on a timely basis. The parties will cooperate in integrating such Modules and the Deliverables developed under each Development Phase into the then current BMS high throughput screening environment until such time as the UHTSS is fully completed and installed at BMS, and Aurora will provide BMS with assistance and support in the use and maintenance of such Modules and Deliverables in such environment without additional charge (other than the payments otherwise due under this Agreement). Aurora will further provide onsite transfer of the Aurora UHTSS Technology to BMS personnel during the installation and Acceptance Testing of each Module to be delivered hereunder to assure BMS' ability to fully operate and maintain the UHTSS and such Modules. In addition, within a reasonable time after the Effective Date, Aurora will schedule training classes, including course materials, for BMS personnel with respect to the use of the Aurora UHTSS Technology. The number of such individuals as shall be jointly determined by BMS and Aurora, but shall be a number sufficient to allow for BMS to effect rapid scale-up in its use of the Aurora UHTSS Technology. If more individuals need to be trained than can be reasonably accommodated in the first training session, the parties will jointly schedule additional sessions as reasonably necessary. Each party will bear its own costs in connection with such training sessions. All such Modules and other Deliverables to be sold by Aurora and purchased by BMS hereunder shall be subject to the terms and conditions of this Agreement, and the parties hereby agree that the terms and conditions of this Agreement shall ***CONFIDENTIAL TREATMENT REQUESTED
Development Phases. The Parties currently anticipate that the Project will be constructed in Development Phases over approximately twenty (20) to thirty (30) years. The Parties acknowledge that Developer cannot guarantee the exact timing in which Development Phases will be constructed, whether certain development will be constructed at all, or the characteristics of each Development Phase (including without limitation the number of units constructed during each Development Phase and the parcels included within each Development Phase). Such decisions depend on numerous factors that are not within the control of Developer or the City, such as market absorption and demand, interest rates, availability of project financing, competition, and other similar factors. To the extent permitted by this Agreement, Developer shall have the right to develop the Project in Development Phases in such order and time, and with such characteristics (subject to the Proportionality, Priority and Proximity Requirements of this Agreement), as Developer requests, as determined by Developer in the exercise of its subjective business judgment, but subject to the City’s reasonable approval of each Development Phase, which approval shall not be unreasonably withheld, conditioned, or delayed.
Development Phases. Such payment shall be credited against any payments owed by Centocor to Biometric for reimbursement of Phase II development costs pursuant to Section 3.2 hereof.
Development Phases. It is proposed that the development will be carried out in ten phases as set forth herein, Phase to commence forthwith and be completed by December 1, 1980 and to include four triple chair lifts, one surface beginner lift, two mountain restaurants and the capacity to accommodate at least 3,900 skiers.
Development Phases. Through the Representatives (as defined in Section ------------------ 2.2 hereof), from time to time during the term of this Agreement, the Parties shall collaborate with respect to the development, construction, and operation of SNFs on Development Sites. Each such project shall include numerous phases, including, without limitation, those set forth below in Section 2.1.1 through 2.1.8, each of which phases shall be completed consecutively in the order listed unless otherwise agreed by the Parties in writing or as indicated below. To the extent SNFs are developed pursuant to this Agreement, each Development Site for a SNF, and the improvements constructed thereon pursuant to this Agreement shall be owned by Baylor or by a third party designated or approved by Baylor; Fountain View will be the lessee/operator of the SNF and the owner of the business operated in the SNF. Either Party may withdraw from participation in a particular project on a Development Site during any development phase without penalty; although the withdrawing Party may be responsible for obligations it has incurred or agreed to prior to such withdrawal, subject to the other provisions of this Agreement, including, without limitation. Section 2.5 hereof.
Development Phases. The Developers may change the Development Phases in their sole discretion prior to commencement of the first Development Phase; provided that they shall provide advance notice to the Executive Committee as soon as reasonably practicable.
Development Phases. The Owners, pursuant to the Project Agreements, shall develop the Plant in four (4) phases, as follows:
Development Phases. The system will be developed using a phased approach. The phases will be: Initial Prototype - This phase will include mature tracking and measurement capability but only rudimentary scoring and data product creation capability. The intent of this phase is to provide an initial look at the technology to begin the familiarization and acceptance process. This phase will be delivered in mid-October 2000 for evaluation during the Arizona Fall League. Basic Prototype - This phase will add a mature scoring capability and database engine for information storage and retrieval and an integrated capability to produce a basic set of pre-defined data projects including summary charts and indexed video clips. The intent of this phase is to provide an initial operational configuration that can be used for data collection and data product creation by trained operators and to provide the context for discussion and definition of additional capability and user requirements. This phase will be delivered for field trials during Spring Training 2001 and limited deployment beginning on Opening Day 2001.
Development Phases. Developer has proposed to develop Lot 1 in two separate phases. “Phase 1” consists of developing the northern portion of Lot 1 with a commercial restaurant and constructing the Twenty-Third Avenue East Center Turn Lane identified in Section B, above. The approximate location of the Phase 1 development area is identified as Parcel A on the attached Exhibit 1. “Phase 2” of the development consists of developing the southern portion of Lot 1 with a planned residential development. The approximate location of the Phase 2 development area is identified as Parcel B on the attached Exhibit 1.
