DISPOSAL OF MATERIAL. 5.1 The Operator, with the approval of the Management Committee may, from time to time, sell any Material which has become surplus to the reasonably foreseeable needs of the Mining Operations for such price and upon such terms and conditions as are available. 5.2 Any party may purchase from the Operator any Material which may from time to time become surplus to the reasonably foreseeable need of the Mining Operations for such price and upon such terms and conditions as the Management Committee may approve. 5.3 Upon termination of the Agreement, the Management Committee may approve the division of any Material held by the Operator at that date may be taken by the parties in kind or be taken by a party in lieu of a portion of its Proportionate Share of the net revenues received from the disposal of the Property. If such a division to a party be in lieu of a portion of its proportionate share, it shall be for such price and on such terms and conditions as the Management Committee may approve. 5.4 The net revenues received from the sale of any Material to third parties or to a party shall be credited to the Joint Account.

Other documents and correspondence addressed to or received by the URC shall be sealed and retained in the Official Employee File for a period of six (6) years at which time the material will be destroyed.

DISPOSAL OF MATERIAL. A Partner may purchase, but shall be under no obligation to purchase, the interest of the Partnership in material which has become surplus material. The disposition of such surplus material, if not purchased by a Partner, shall be subject to disposition as directed by the Management Committee, provided, that, the Project Leader shall dispose of normal accumulations of junk scrap material. The Project Leader will give notice to the Management Committee of surplus materials for sale. In connection with the disposal of surplus material, the following provisions shall apply: 1. Material Purchased by a Partner Material purchased by a Partner shall be paid for by such Partner in the month in which the material is removed by such Partner. 2. Sales to Outsiders Sales of material to outsiders shall be credited by the Project Leader to the Partnership at the net amount collected by the Project Leader from vendee. The Project Leader shall take all reasonable and necessary steps to collect such proceeds. Any claim by vendee related to such sale shall be charged back to the Partnership if and when paid.

DISPOSAL OF MATERIAL. Unless otherwise ordered by the Employer’s Agent, the Contractor shall dispose of material resulting from clearing and demolition operations at a site to be determined by the Contractor. Such a site shall have the approval of the Employer’s Agent, the Local Authority and the Environmental Control Officer. Payment for the clearing, loading, transport, dumping fees and any other requirement or costs incurred shall be included in the rates submitted for site clearance.

DISPOSAL OF MATERIAL. 7.1 The Depositor may initiate the disposal of all or some Vials of Material at any time by notifying CellBank of its intention in writing and completing the disposal documentation made available by CellBank. 7.2 All outstanding Invoices and fees for any services provided, including the Disposal Fee, must be paid in advance of the disposal of the relevant Vials of Material by CellBank. 7.3 CellBank will destroy the relevant Vials of Material in compliance with applicable laws and regulations. Any third party fees or charges associated with the disposal will be passed on, in full, to the Depositor and included as a separate charge in addition to the Disposal Fee. 7.4 The Depositor must, at the time the Depositor initiates the disposal of the relevant Material in accordance with clause 7.1, advise CellBank in writing of any relevant laws, regulations or requirements relating to the disposal of such Material. 7.5 CellBank reserves the right to refuse to dispose of any Material and insist that the Material be retrieved by the Depositor instead.
