Duties and prohibitions. The Second Party undertakes to carry out his/her duties and refrain from the prohibited acts stipulated in the Federal Law by Decree No 11 of 2008 concerning human resources in the Federal Government, as amended, the Executive Regulations thereof, and the Code of Ethics and Professional Conduct Document for Civil Service. The Second Party shall also maintain confidentiality and non-disclosure of any information and other relevant laws or regulations applicable in the Federal Government.

Duties and prohibitions. (1) The Stage Manager or the Assistant Stage Manager shall be present at all rehearsals and performances. An Assistant Stage Manager shall be the individual who is assigned to assist the Stage Manager on a specific production or productions. An Assistant Stage Manager may not be assigned the primary responsibility for a production. (2) It is agreed that the Stage Manager's function is a full-time one. The Stage Manager shall not be required to function in areas which interfere with his rehearsal and/or performance duties as a Stage Manager. (3) The Stage Managerial staff is prohibited from and shall not accept responsibility for doing building maintenance, janitorial or custodial work. (4) In Resident Companies, Stage Managers and Assistant Stage Managers shall not be required to design, build, hang, transport, operate, shift, run, shop for or maintain lights, sound, scenery, props, video, wardrobe, animals, etc., unless they are contracted and compensated separately from the Equity contract. It shall not be a condition of employment that the Stage Manager or Assistant Stage Manager agree to these separate duties. However, if a separate, written contract is made, a copy of such contract shall be forwarded to Equity. This provision does not prohibit the Stage Manager or Assistant Stage Manager from fulfilling the necessary requirements of the rehearsal and run-throughs in the rehearsal space. (5) The Stage Manager, Assistant Stage Manager, Actor/ASM or Actor shall not be required to be personally responsible for the company’s financial situations, i.e., guaranteeing company living accommodations, renting the vehicle, maintenance, etc., with personal credit cards, checks or funds. (6) The Producer must supply the Stage Manager with the means to cover the company’s expenses. For Touring companies only, the means to cover expenses shall be defined as a major credit card or ATM Card. (7) It shall not be a condition of employment for any member of the Stage Managerial staff to possess a driver’s license, own a motor vehicle or possess a credit card or possess a cell phone. (See Rules 46(M) 64(B)(6) and 68(K)(5).) (8) The Stage Manager, Assistant Stage Manager, Actor/ASM or Actor shall not be required to receive company paychecks and/or arrange for cashing of those checks. (See Rule 46(J) Payday.)

  • Duties and Services Executive agrees to serve in the position(s) referred to in Section 2.2 and to perform diligently the duties and services appertaining to such offices, as well as such additional duties and services appropriate to such offices which the parties mutually may agree upon from time to time. Executive’s employment shall also be subject to the policies maintained and established by the Company and the Parent that are of general applicability to the Company’s and the Parent’s employees, as such policies may be amended from time to time.

  • Duties and Extent of Services A. During the Employment Term, the Executive shall serve as Senior Vice President of the Company, reporting to the Chief Executive Officer of the Company (the "Chief Executive Officer") and, in such capacity, shall render such executive, managerial, administrative or other services as customarily are associated with and incident to such position, and as the Company may, from time to time, reasonably require consistent with such position. B. The Executive shall also hold such other positions and executive offices of the Company and/or of any of the Company's subsidiaries or affiliates as may from time to time be agreed by the Executive or assigned by the Chief Executive Officer, provided that each such position shall be commensurate with the Executive's position as Senior Vice President. C. The Executive shall be a full-time employee of the Company and shall exclusively devote all business time and efforts faithfully and competently to the Company and shall diligently perform to the best of his or her ability all of the required duties as Senior Vice President, and in the other positions or offices of the Company or its subsidiaries or affiliates assigned hereunder. Notwithstanding the foregoing provisions of this Section, the Executive may serve as a non-management director of such business corporations (or in a like capacity in other for-profit organizations) as the Chief Executive Officer or the Board may approve, such approval not to be unreasonably withheld, as well as any not-for-profit organizations as the Executive may deem appropriate.

  • Duties and Status The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. (b) Subject to the terms and conditions set forth in this Agreement, Employee shall devote his full business time, attention, and efforts to the performance of his duties under this Agreement and shall not engage in any other business or occupation during his employment with the Company pursuant to this Agreement, including, without limitation, any activity that (x) conflicts with the interests of the Company or its subsidiaries, (y) interferes with the proper and efficient performance of his duties for the Company, or (z) interferes with the exercise of his judgment in the Company’s best interests. Notwithstanding the foregoing, nothing herein shall preclude Employee from (i) serving, with the prior written consent of the Board, as a member of the board of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses and charitable organizations, (ii) engaging in charitable activities and community affairs, and (iii) subject to the terms and conditions set forth in Section 10 hereof, managing his personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii) and (iii) shall be limited by Employee so as not to materially interfere, individually or in the aggregate, with the performance of his duties and responsibilities hereunder.

  • Certain Duties and Responsibilities The duties and responsibilities of the Trustee shall be as provided by the Trust Indenture Act. Notwithstanding the foregoing, no provision of this Indenture shall require the Trustee to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties hereunder, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. Such consent shall not be unreasonably withheld. F) The Executive shall not receive fees or other remuneration for work performed either within or outside the scope of his employment without prior written consent of the BOD.
