Prohibited Acts definition

Prohibited Acts means the acts specified in Clause 33 (Prohibited Acts);
Prohibited Acts shall have the meaning set forth in Section 4.2.

  • If any charge owing by Customer is thirty (30) days or more overdue or if Customer has committed any Prohibited Acts, Ivalua may, without limiting its other rights and remedies, suspend Services until such amounts are paid in full, provided Ivalua has given Customer at least ten (10) days prior written notice that its account is overdue in accordance with the payment terms set forth above, in Sub-section 5.2.

Prohibited Acts has the meaning given under 29.1.1 of Schedule 2;
Prohibited Acts means any act or failure to act by SpinCo described in Section 4.2(a) or Section 4.2(b) (regardless of whether the conditions set forth in Section 4.2(c) are satisfied).

Prohibited Acts means the forbidden conduct set forth for [school officials] board members, members of a board of trustees, and administrators at N.J.S.A. 18A:12-24.
Prohibited Acts. The following constitute a Prohibited Act: (a) directly or indirectly to offer, promise or give any person; (i) working for or engaged by NEPO a financial or other advantage; (ii) induce that person to perform improperly a relevant function or activity; or (iii) reward that person for improper performance of a relevant function or activity; (b) directly or indirectly to request, agree to receive or accept any financial or other advantage as an inducement or a reward for improper performance of a relevant function or activity in connection with this Contract. (c) committing any offence: (i) under the Bribery Act; (ii) under legislation creating offences concerning fraudulent acts; (iii) at common law concerning fraudulent acts relating to this Contract or any other contract with NEPO; or (iv) defrauding, attempting to defraud or conspiring to defraud NEPO. “Protective Measures” Means appropriate technical and organisational measures which may include: pseudonymising and encrypting Personal Data, ensuring confidentiality, integrity, availability and resilience of systems and services, ensuring that availability of and access to Personal Data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the such measures adopted by it. “Purchase” means the purchase or Contract Hire of Vehicles by a Member. “Service Levels” Means the service level template provided in Schedule 3 of this Agreement. Members have flexibility to amend and add service levels as appropriate to their requirements. “Sub-processor” Means any third Party appointed to process Personal Data on behalf of the Supplier related to this Agreement. “Suspended” Means the Supplier has been temporarily removed from having opportunity to be awarded Call-Off Contracts via Direct Award or Mini-Competition. “Tender” Means the Supplier’s original tender submission to participate in the Framework. “Vehicles” Means chassis suitable for heavy goods vehicle bodies and also heavy goods bodies, including but not limited to tippers, dropside, flat, beavertail, curtain-side, box, Luton, refuse collection, bin lifts and recycling bodies, xxxxxxx, snowplough and auger spreaders, tanker, gully emptier, aerial platforms, hook loader, waste containers and any other demountable body systems that may be required, xxxxxx, cranes, mobile library and offices, vehicle and plant recovery, street lighting and highway maintenance bodies. Prohibited Acts means any action taken by Customer that is: (i) in violation of Section 1 of a Software License Schedule - Perpetual or Section 1, 2 or 3 of a Software and Maintenance Schedule – Subscription or Section 2 of a SaaS Schedule; (ii) contrary to Section 4 of these General Terms; or (iii) in violation of any term of any Schedule that is identified within that Schedule to be a Prohibited Act.
