Common use of Emergency Changes Clause in Contracts

Emergency Changes. If a Service Level failure, reasonable safety concern, Governmental Authority or change in Applicable Law, requires an immediate Change to a System or Service, then Fujitsu may implement such Change immediately upon notice to Spansion, with a copy to the AMD Services Advisor. Any change in Fees, any System purchases for which Fujitsu seeks reimbursement from Spansion, or any long-term, material degradation in Service Levels resulting from such Change, unless such degradation is unavoidably required in the circumstances (in which event Fujitsu shall use all reasonable efforts to mitigate the impact of such degradation), shall be subject to the Change Control Procedures.
