Employment of Physician Employees. Oncology shall have complete control of and responsibility for the hiring, compensation, supervision, evaluation and termination of its Physician Employees, although at the request of Oncology, Response shall consult with Oncology respecting such matters. Oncology shall be responsible for the payment of all Physician Employee Compensation now or hereafter applicable to Physician Employees; provided, however, that Response shall provide the payroll service for computing, accounting for and disbursing or paying all salaries and benefits of Oncology employees, all of whom may be paid out of the Oncology Operating Account. With respect to physicians, Oncology shall only employ and contract with licensed physicians meeting applicable credentialling guidelines established by Oncology. To the extent permissible under the Employee Retirement and Income Security Act of 1974, as amended ("ERISA"), the Internal Revenue Code of 1986, as amended (the "Code"), and applicable Health Care Law and to the extent such practice does not violate Applicable Law or jeopardize reimbursement for medical related services provided by any person associated with a Clinic, Response shall pay any overtime or other non-salary compensation of and shall provide employee benefits to Physician Employees, notwithstanding their employment by Oncology. The cost of such items shall be Clinic Expense. Response shall not provide any benefit to such persons to the extent Oncology is required to provide same under ERISA, the Code or any other statute or regulation.

Employment of Physician Employees. The Practice shall have complete control of and responsibility for the hiring, compensation, supervision, evaluation and termination of its Physician Employees. The Practice shall be responsible for the payment of such Physician Employees' salaries, wages, taxes and benefits as the Practice's sole cost and expense. PHYN will reimburse the Practice for thirty-five (35%) percent of the salary and benefits associated with a Physician Employee's participation in development activities and Clinical Facility management (but not internal Practice governance or strategic planning) but only (i) to the extent approved in advance by the Operating Board, and (ii) if such Physician Employee is not otherwise receiving compensation from PHYN. With respect to physicians, the Practice shall employ and contract only with licensed physicians meeting applicable credentialling guidelines established by the Practice. The Practice agrees to maintain a sufficient number of Physician Employees to adequately staff and treat patients at the Clinical Facility.
Employment of Physician Employees. The Clinic shall have complete control of and responsibility for the hiring, compensation, supervision, training, evaluation and termination of its Physician Employees, although, at the request of the Clinic, Administrator and/or the Joint Planning Board shall consult with the Clinic with respect to such matters. The Clinic shall conduct an appropriate and reasonable due diligence review in connection with the hiring of any physician or the acquisition of any physician group or practice, and shall compensate such physician employees in amounts not to exceed amounts which are reasonable and customary for physicians of comparable skill and experience in the community where the Clinic is located. Each of the Clinic Physician Stockholders shall enter into a Physician Employment Agreement substantially in the form attached as Schedule 4.1, unless otherwise agreed to by PTI. Although Administrator may provide payroll and other related services to the Clinic, the Clinic shall be solely responsible for the payment of such Physician Employees' salaries and wages, payroll taxes and all other taxes now or hereafter applicable to their employment. The Clinic and its Physician Employees shall not have any claim under this Agreement or otherwise against Administrator or PTI for workers' compensation, unemployment compensation or Social Security benefits, all of which shall be the sole responsibility of the Clinic. The Clinic shall only employ or contract with licensed physicians or other persons meeting applicable credentialing guidelines established by the Clinic and approved by the Joint Planning Board. The Clinic shall cooperate in the obtaining and retaining of professional liability insurance by ensuring that its Physician Employees, and other employees who may have malpractice exposure or liability, are insurable and by participating in an ongoing risk management program.
Employment of Physician Employees. ADC shall have complete control of and responsibility for the hiring, compensation, supervision, evaluation and termination of its Physician Members and Physician Employees, although at the request of ADC, ProMedCo shall consult with ADC regarding such matters. ADC shall enforce formal employee agreements from each of its Physician Members and Physician Employees, hired or contracted, substantially in the form attached hereto as Exhibit "C".
