Facility Management definition

Facility Management means the maintenance and management of the Station Assets and Station Project Utilities comprised in the Station Area, including right to collect and appropriate the Station Revenues, and performing all other obligations of the Facility Manager in accordance with the provisions of this Station Facility Management Agreement;
Facility Management means the owner or manager of the Exhibition Facilities in which the Show is conducted, and its employees and agents. “Exhibitor” means the applicant identified on the front hereof. Exhibit space (“Exhibit Space” or “Booth Space”) means the space applied for herein. “Exhibit Space Fee” means the required Exhibit Space fee, including all deposits and other fees to be paid to Show Management as set forth on the front of this Agreement. Show Management and Exhibitor are collectively referred to in this Agreement as the “Parties” and “Party” in the singular.
Facility Management means the owner(s) and manager(s) of the Event Venue or Facility.

Facility Management means the owner or manager of the Mandalay Bay Convention Center and the management of any of other facilities used for the Conference. Exhibit space (“Exhibit Booth” or “Exhibit Space”) means the exhibit or display space assigned to Exhibitor by WVC. “Exhibit Space Fee” means the required Exhibit Space fee, including all deposits and other fees to be paid to WVC for Exhibitors’ Exhibit Space. “Exhibit” collectively means any or all of Exhibitor’s materials, goods, products, equipment or belongings displayed, showcase or used within Exhibitor’s Exhibit Space. “Conference Dates” mean the dates over which the Conference is conducted including move-in, show days and move-out days at the Convention Center. “Exhibition Hours” means the hours that the Exhibition (i.e., tradeshow/exposition portion of Conference) in open to Conference participants
Facility Management means the owner or manager of the facility in which the Exhibition is held, and its employees and agents.

Thereafter, Seller shall afford to Purchaser and its counsel, accountants, environmental consultants, engineers, appraisers, lenders and other authorized representatives (collectively, "Purchaser’s Representatives") access to the Facility during business hours, including, but not limited to, the roof, all FF&E, the heating and cooling systems, and any and all financial data and records, operating data and other information requested, including the Most Recent Financial Statements, audits, inspection reports, plans of correction with respect to Licensing Surveys, payroll information, Government Program reports, employment agreements, personnel policies, and all contracts, agreements, correspondence files and other documents relating to the Facility so that Purchaser may have a full opportunity to make such investigations of the Assets and the Facility as Purchaser shall desire to make. Seller shall be entitled to have a representative present during Purchaser’s scheduled visits. Prior to expiration of the Due Diligence Period, Purchaser’s access to personnel shall be limited to meeting with the Facility Management, unless otherwise approved by Seller, which approval may not be unreasonably withheld. At the request of either Purchaser or Seller, within five (5) Business Days after the expiration of the Due Diligence Period (and assuming this Agreement is not terminated), Seller and Purchaser shall hold joint meetings at the Facility with the facility-based Employees to announce that the Facility will be sold to Purchaser and leased to Tenant. At any time after those meetings, Purchaser will be entitled to meet with and interview any and all Employees.
