Employment Solicitation. For a period of twelve months following the Effective Time, neither the Corporation nor New Ceridian may, and shall not permit any of their Subsidiaries or the officers, directors, employees or agents of any of them to, solicit or recruit for employment any then current employee of the other company or its Affiliates or Subsidiaries, without the prior written consent of the other company. Nothing in this section shall be construed so as to (i) prohibit the hiring by either company or its Affiliates or Subsidiaries of any employee of the other who in good faith is believed to be actively seeking employment on his or her own initiative without prior contact initiated by any employee or agent of the company where employment is sought or (ii) prohibit the hiring of any person who first applied for such employment in response to any public medium advertising.
Employment Solicitation. For a period of three (3) years following the Distribution Date, neither the TXI Parties nor the Chaparral Parties may, and will not permit any of their respective Affiliates or agents to, solicit or recruit for employment any then current exempt salaried, managerial or supervisory employees of the other, without the prior written consent of the other. Nothing in this Section 5.3 shall be construed so as to (i) prohibit the hiring by either the TXI Parties or the Chaparral Parties of any exempt salaried, managerial or supervisory employee of the other who in good faith is believed to be actively seeking employment on his/her own initiative without prior contact initiated by any employee or agent of the company where employment is sought, or (ii) prohibit the hiring of any person who applied for employment with either company in response to any public advertising medium.
Employment Solicitation. During the term of this Agreement, neither PathNet nor any PathNet Affiliate shall solicit employment from, offer employment to or hire, in any manner whether as an employee or a Subcontractor, any Incumbent employee; provided that PathNet may hire any former Incumbent employee if such employee has not worked for Incumbent for a period of at least eighteen (18) months.
Employment Solicitation. For a period of one year following the IPO Closing Date, neither Helix nor Cal Dive may, nor will they permit any of their respective subsidiaries, affiliates or agents to, solicit or recruit for employment any employees with a position of vice president or higher currently and then in the employ of the other company or its subsidiaries or affiliates, without the prior written consent of the other company.
Employment Solicitation. For a period of 24 months following the Closing Date no Party may, and will not permit any of its Subsidiaries or agents to, directly or indirectly, solicit or recruit for its employment any then-current employee of the other Parties, or their Subsidiaries, without the prior written consent of the relevant other Party; provided, however that nothing in this Section 10.12 shall (i) prohibit the employment by any Party or its Subsidiaries of any employee of the other who seeks employment on his or her own initiative without prior contact with him or her initiated by any employee or agent of such Party, (ii) restrict the operation of the Employee Matters Agreement, or (iii) prohibit the employment of any person who applied for employment with any Party solely in response to any public medium advertising.
Employment Solicitation. For a period of 12 months following the Distribution Date, neither Xxxxxxxx-Xxxxx nor Halyard may, and will not permit any of their respective subsidiaries, Affiliates or agents to, solicit or recruit for employment any then current employees of the other company or its subsidiaries or Affiliate, without the prior written consent of the other company. Nothing in this Section 2.03 shall be construed so as to (i) prohibit the hiring by either company or its subsidiaries or Affiliates of any employee of the other company who initiated contact for the purpose of seeking employment without prior contact initiated by any employee or agent of the company where employment is sought, or (ii) prohibit the hiring of any person who applied for employment with either company in response to any public advertising medium.
Employment Solicitation. For a period of three (3) years following the Distribution Date, neither Kxxxxxxx-Xxxxx nor Neenah Paper may, and will not permit any of their respective subsidiaries, affiliates or agents to, solicit or recruit for employment any then current exempt salaried, managerial or supervisory employees of the other company or its subsidiaries or affiliates, without the prior written consent of the other company. Nothing in this Section 2.03 shall be construed so as to (i) prohibit the hiring by either company or its subsidiaries or affiliates of any exempt salaried, managerial or supervisory employee of the other company who in good faith is believed to be actively seeking employment on his/her own initiative without prior contact initiated by any employee or agent of the company where employment is sought, or (ii) prohibit the hiring of any person who applied for employment with either company in response to any public advertising medium.
Employment Solicitation. Buyer shall not solicit applications for permanent or supplemental employment from Seller's employees. However, in the event that any Seller employee applies for and is offered employment by the Buyer, Seller shall not charge Buyer with any personnel placement fees, damages, or any other charges connected with such hiring.
Employment Solicitation. For a period of one year following the Distribution date, neither Clear Channel nor Entertainment may, nor will they permit any of their respective subsidiaries, affiliates or agents to, solicit or recruit for employment any employees with a position of vice president or higher currently and then in the employ of the other company or its subsidiaries or affiliates, without the prior written consent of the other company.
Employment Solicitation. During the period beginning on the ----------------------- Distribution Date and ending one year after the Distribution Date, neither Baxter nor Edwards shall, nor shall they permit any of their respective Subsidiaries, Affiliates or agents to, directly or indirectly, except as provided in the following sentence, actively solicit or recruit for employment any then current employee of the other or of any of the other's Subsidiaries. Nothing contained in this Article XII shall (i) prohibit the hiring of any ----------- employee who in good faith is believed to be actively seeking employment on his or her own initiative without prior contact initiated by any employee or agent of the company where employment is sought, or any of such company's Affiliates; provided, however, that such employee or the hiring company has obtained -------- ------- authorization from the Senior Vice President of Human Resources or the Corporate Vice President of Human Resources, as the case may be, of his or her current employer; or (ii) prohibit Baxter or Edwards or any of their respective Subsidiaries from hiring any person who has terminated employment with the other company. The foregoing restriction shall cease to apply one year after the Distribution Date.
