END OF LICENCE PERIOD. ‌ 17.1 At the end of the Licence Period you should clean and clear your Room or Flat of all belongings by 12.00pm and return your keys to the Accommodation Team or hall/residence staff. You must make sure that the doors are locked and the windows in your Room are firmly closed when you leave. In the event that doors or windows are left open, you will be charged for any damage caused. Professional cleaners will be engaged where cleaning does not meet the standards required by the College and you will be charged for the costs of engaging such professional cleaners. 17.2 You must remove all personal possessions from the Room and Flat once the Licence has ended. If any of your personal possessions are left at the Premises after the Licence has ended, you will be responsible for meeting all reasonable removal and storage charges. The College will remove and store the possessions for a maximum of 2 weeks. If the items are not collected within 2 weeks, the College may dispose of the items and donate them to charity. The cost of removal, storage and disposal will be invoiced to you in the event that any personal possessions remain on the Premises following expiry of the Licence. 17.3 Any provision of this Licence Agreement that expressly or by implication is intended to come into or continue in force on or after the end of the Licence Period shall remain in full force and effect.

This should include a thorough clean of all surfaces, cupboards, fridges, freezers, cookers, microwaves and other equipment; and sweeping, washing and vacuuming all floors as appropriate. The Room and Communal Areas must be left in the same condition as at the start of Licence Period, except for fair wear and tear. You must remove all personal possessions from the Room and Communal Areas once the Licence Period has ended. END OF LICENCE PERIOD. 9.1 The Licensor agrees with the Licensee that if the Licensee shall desire to take a renewal licence of the Premises (or part thereof) from the expiration of the term hereby granted and shall prior to 30th September 2016 give to the Licensor previous notice in writing to that effect and shall pay the Licence Fee reserved by and perform the conditions of the Licensee contained in this Licence up to the expiration of the Licence Period the Lessor will enter into a new Licence of the Premises for a term to be agreed by the Licensor at a licence fee to be valued in accordance with clause 9.2 hereof on the terms conditions as the Licensor requires and to be agreed between the parties provided that if the Licensee does not serve notice in accordance with this clause 9.1 or having served such notice the parties are unable to come to agreement on the terms and conditions of the new licence agreement then this Licence Agreement shall automatically terminate on the expiration of the Licence Period on 31st March 2017 9.2 The Licence Fee in the renewal licence shall be such sum as is certified in writing by Land and Property Services as the fair market Licence Fee for the Premises (or part thereof as appropriate) and shall not include the matters listed in clause 5 hereof and an appropriate charge for services agreed to be provided by the Licensor as determined by DFP Properties Division will be payable as a separate service charge.

The parties to this Contract do not intend that an estate, a tenancy or any other interest in property should pass from Georgia Institute of Technology to Student. Instead, it is the intention of the parties that the relationship between Georgia Institute of Technology and Student be that of licensor and licensee and the sole right of Student to use the assigned space as a living unit shall be based upon the License granted in this Contract.

  • AUDIT OF LICENSED PRODUCT USAGE Contractor shall have the right to periodically audit, no more than annually, at Contractor’s expense, use of licensed Product at any site where a copy of the Product resides provided that: (i) Contractor gives Licensee(s) at least thirty (30) days advance written notice, (ii) such audit is conducted during such party’s normal business hours, (iii) the audit is conducted by an independent auditor chosen on mutual agreement of the parties. Contractor shall recommend a minimum of three (3) auditing/accounting firms from which the Licensee will select one (1). In no case shall the Business Software Alliance (BSA), Software Publishers Association (SPA), Software and Industry Information Association (SIIA) or Federation Against Software Theft (FAST) be used directly or indirectly to conduct audits, or be recommended by Contractor; (iv) Contractor and Licensee are each entitled to designate a representative who shall be entitled to participate, and who shall mutually agree on audit format, and simultaneously review all information obtained by the audit. Such representatives also shall be entitled to copies of all reports, data or information obtained from the audit; and (v) if the audit shows that such party is not in compliance, Licensee shall be required to purchase additional licenses or capacities necessary to bring it into compliance and shall pay for the unlicensed capacity at the NYS Net Price in effect at time of audit, or if none, then at the Contractor’s U.S. Commercial list price. Once such additional licenses or capacities are purchased, Licensee shall be deemed to have been in compliance retroactively, and Licensee shall have no further liability of any kind for the unauthorized use of the software.

Licensee shall have option to exit from the License Agreement immediately after completion of lock in period of 5 (Five) years. For it, Licensee shall have to issue 180 days prior notice to Maha-Metro. Such prior notice intimation can be given after four and half (4 ½) years however option to exit will be available only after five (05) years. f. At no time during the license tenure, the Licensee shall be allowed to surrender partial Licensed Space which has been handed over to the Licensee by Maha-Metro. g. At the end of License period or in the event of termination of this agreement prior to completion of license tenure, for any reason whatsoever, all rights given under this License Agreement shall cease to have effect and the premises shall revert to Maha-Metro, without any obligation to Maha-Metro to pay or adjust any consideration or other payment to the Licensee. h. The tenure shall be inclusive of fitment period as applicable for the tendered space. i. On completion/ termination of License Agreement, the Licensee shall hand over the space with normal wear & tear. The Licensee shall be allowed to remove its assets like temporary structure, furniture, almirahs, air-conditioners, DG sets, equipments, etc. without causing damage to the existing structure. However, the Licensee shall not be allowed to remove any facility, equipment, fixture, etc. which has become an integral part of the development plan of the space. j. At the end of the License Period or sooner determination of this Agreement for any reason whatsoever all rights given under this License Agreement shall cease to have effect and the Licensed Area with all the furniture and fixtures and other assets permanently attached to the Licensed Area shall revert to Maha-Metro without any obligation on part of Maha-Metro to pay or adjust any consideration or other payment to the Licensee. The Licensee voluntarily gives Maha-Metro the right to seal the said Licensed Space(s) and remarket the same as part on its discretion upon Termination of this Agreement. No claim, compensation or damages will be entertained by Maha-Metro on this account.
