ENTIRE AGREEMENT AND SUPERSESSION. 20.1. The Parties acknowledge and accept that, subject to Clause 20.3, the Contract constitutes the entire agreement between them with regard to the Services and supersedes all prior agreements, discussions, arrangements and undertakings, if any, between the Parties in respect of the Services.

ENTIRE AGREEMENT AND SUPERSESSION. The provisions of this Agreement constitute the entire agreement between and among the Parties with respect to the subject matter hereof. This Agreement supersedes any prior or contemporaneous oral or written understandings, agreements, contracts, obligations, or representations of the Parties. No amendment or variation of the terms of the Agreement shall be valid unless in writing and signed by the Baylor and an authorized representative of Baylor. Mutual Understanding. Each party has read this Agreement, fully understands the contents of it, has had the opportunity to obtain independent legal advice regarding the Agreement's legal effect, and is under no duress regarding its execution.

  • Entire Agreement and Modification This Agreement supersedes all prior agreements between the parties with respect to its subject matter and constitutes (along with the documents referred to in this Agreement) a complete and exclusive statement of the terms of the agreement between the parties with respect to its subject matter. This Agreement may not be amended except by a written agreement executed by the party to be charged with the amendment.

  • Entire Agreement; Amendments This Agreement and the instruments referenced herein contain the entire understanding of the parties with respect to the matters covered herein and therein and, except as specifically set forth herein or therein, neither the Company nor the Buyer makes any representation, warranty, covenant or undertaking with respect to such matters.
