Establishment of School. The Charter Holder is hereby authorized to implement at the School the program described in the Charter, attached to this Certificate as Appendix C and incorporated herein by this reference. Any significant changes to any section of the Charter, including the educational program, facilities plan, financial plan, or the management plan, during the School’s pre-operational period or first operational term shall be treated as an amendment in accordance with the Authorizer’s policy.

The Charter Operator affirms, as a condition of this Agreement, that the non-profit corporation is duly authorized according to the laws of the State of Louisiana, and certifies that all contracts obligating the charter school have been and will be undertaken by the Charter Operator as a nonprofit corporation. Failure to act strictly as a nonprofit corporation shall be grounds for rescission of its charter. The Charter Operator affirms, as a condition of this Agreement, that the non-profit corporation has a Board of Directors, whose members receive no compensation other than reimbursement of actual expenses incurred while fulfilling duties as a member of such a board. The Charter Operator affirms, as a condition of this Agreement, that no more than one person from the same immediate family, as defined in La. R.S. 42:1102(13), serves as a member of the Charter Operator’s Board of Directors. Location The Charter Operator shall provide educational services, including the delivery of instruction, at the location(s) listed in Exhibit A.

Establishment of School. The Board hereby establishes the Montessori School in accordance with the recommendations of the Superintendent. The function of the Board with respect to the Montessori School shall be the establishment, funding, and oversight, on behalf of the public, of the Montessori School, and the provision of support services to the Montessori School as may be requested by the Corporation and approved by the Board pursuant to the Management Agreement. The function of the Corporation shall be as operator and manager of the Montessori School, subject to the terms and limitations of the Management Agreement, the applicable Master Agreement between the Board and the Northern Michigan Education Association (hereinafter, “Master Agreement”) and the Board’s leadership, direction, policies, standards, oversight and satisfaction.
