EU Laws. If Supplier is processing personal data as defined in the Directive 95/46/EC (“Directive”) on Clearwire’s behalf that is subject to the Directive, then with respect to the Parties’ rights and obligations under this Agreement, the Parties acknowledge that, except where otherwise agreed, Clearwire is the data controller and Supplier is the data processor. Supplier undertakes to Clearwire that it will comply with obligations equivalent to those imposed on a ‘data processor’ under Article 17 of the Directive and the national legislation of each EU Member State (collectively, the “EU Applicable Laws”). In addition, Supplier represents that it: • has the appropriate technical and organizational measures in place to protect against unauthorized or unlawful processing of personal data and against accidental loss or destruction of, or damage to, personal data held or processed by Supplier and that Supplier has taken reasonable steps to ensure the reliability of any of Supplier’s staff who have access to personal data processed in connection with this Agreement; • will process the personal data only to the extent, and in such manner, as is necessary for the provision of the Services or as required by Applicable EU Laws; and CLEARWIRE AND SUPPLIER CONFIDENTIAL Confidential — Subject to Nondisclosure Obligations • will take commercially reasonable steps consistent with its obligations herein to not do anything which might result in Clearwire breaching any provisions of the EU Applicable Laws. The obligations set out in this Exhibit P related to confidentiality or to the protection of personal data shall remain in force notwithstanding termination of the ASO and the Agreement. [*****]

EU Laws. 3.1 Rights of Data Subjects. PrimePay will, to the extent legally permitted, promptly notify Customer if PrimePay receives a request from a Data Subject to exercise the Data Subject's right of access, right to rectification, restriction of Processing, erasure (“right to be forgotten”), data portability, object to the Processing, or its right not to be subject to an automated individual decision making (“Data Subject Request”). To the extent Customer does not have access to the applicable Customer Personal Data, PrimePay will (a) assist Customer by appropriate technical and organizational measures for the fulfilment of Customer’s obligation to respond to a Data Subject Request under Applicable Data Protection Laws, and (b) PrimePay will, upon Customer’s request and at Customer’s expense, provide commercially reasonable efforts to assist Customer in responding to such Data Subject Request, to the extent PrimePay is legally permitted to do so and the response to such Data Subject Request is required under Applicable Data Protection Laws.

  • Labour Laws (a) The Contractor shall obtain all relevant labour registrations and comply with all relevant labour laws applying to its employees, and shall duly pay them and afford to them all their legal rights. (b) The Contractor shall make all deductions of tax at source and all contributions to the Payment of Gratuity, Provident Fund (including Employees’ contribution) and Employees’ State Insurance Scheme as may be required by Applicable Laws and deposit the aforesaid contributed amount with the appropriate authority/(s). (c) The Contractor shall require all personnel engaged in the Works to obey all Applicable Laws and regulations. The Contractor shall permit Authority to witness labour payments for the Contractors direct labour, or the Subcontractors labour. The Contractor shall ensure that all its Subcontractors strictly comply with all labour laws. (d) Documentary evidence confirming compliance with Sub-Clause 12.4, as may be required from time to time, shall be provided to the Employer’s Representative. (e) The Employer shall not be liable for any delay/default of the Contractor in compliance of the labour laws.

  • Anti-Corruption Laws and Sanctions The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person. No Borrowing or Letter of Credit, use of proceeds or other transaction contemplated by this Agreement will violate any Anti-Corruption Law or applicable Sanctions.

  • Export Laws The Software, including Documentation, is subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. Licensee will comply strictly with all regulations and has the responsibility to obtain any licenses required to export, re-export, or import Software or Documentation.
