Execution of Part A of the Project. (a) The Federation declares its commitment to the objectives of the Project as set forth in Schedule 2 to the Development Credit Agreement, and, to this end, shall carry out Part A of the Project with due diligence and efficiency and in conformity with appropriate administrative, educational, financial, and technical practices, and shall provide, or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the Project. (b) Without limitation upon the provisions of paragraph (a) of this Section and except as the Association and the Federation shall otherwise agree, the Federation shall carry out Part A of the Project in accordance with the Implementation Program set forth in Schedule 1 to this Agreement and the Program Manual. Section 2.02. Except as the Association shall otherwise agree, procurement of the goods and consultants’ services required for Part A of the Project and to be financed out of the proceeds of the Credit shall be governed by the provisions of Schedule 3 to the Development Credit Agreement. Section 2.03. The Federation shall exercise its rights under the Subsidiary Credit Agreement in such manner as to protect the interests of the Federation and the Association and to accomplish the purposes of the Credit, and except as the Association shall otherwise agree, shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Credit Agreement or any provision thereof. Section 2.04. (a) The Federation shall, at the request of the Association, exchange views with the Association with regard to the progress of Part A of the Project, the performance of its obligations under this Agreement, the Subsidiary Credit Agreement and the Program Manual, and other matters relating to the purposes of the Credit.

(b) For the purposes of Section 9.06 of the General Conditions and without limitation thereto, the Federation shall: (i) prepare, on the basis of guidelines acceptable to the Association and furnish to the Association not later than six (6) months after the Closing Date or such later date as may be agreed for this purpose between the Association and the Federation, a plan for the future operation of Part A of the Project; (ii) afford the Association a reasonable opportunity to exchange views with the Federation on said plan; and (iii) thereafter, carry out said plan with due diligence and efficiency and in accordance with appropriate practices, taking into account the Association’s comment thereon. The Guarantor shall carry out, or cause to be carried out, Part A of the Project with due diligence and efficiency and in conformity with appropriate practices, and shall provide, promptly as needed, the funds, facilities, services and other resources required for the purpose. Section 3.02. Except as the Bank shall otherwise agree, pro- curement of the goods and services required for Part A of the Project and to be financed out of the proceeds of the Loan shall be governed by the provisions of Schedule 4 to the Loan Agreement.

Except as the Bank shall otherwise agree, procurement of the consultantsservices required for Part A of the Project and to be financed out of the proceeds of the Loan shall be governed by the provisions of Section II of Schedule 4 to the Loan Agreement. Execution of Part A of the Project. Section 2.01. (a) IGA declares its commitment to the objectives of the Project as set forth in Schedule 1 of the Interim Fund Development Credit Agreement, and, to this end, shall carry out Part A of the Project with due diligence and efficiency and in conformity with appropriate administrative, financial, and insurance practices, and shall provide, or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for Part A of the Project. (b) For the purposes of the carrying out of Part A.1 of the Project, IGA shall: (i) enter into an agreement with the Agent Bank (the Agency Agreement), whereunder IGA shall designate the Agent Bank to withdraw funds from the Interim Fund Credit Account and delegate the making of Payments under Guarantee Contracts, such agreement to contain terms and conditions satisfactory to the Administrator, including (except as the Administrator shall otherwise agree) those set forth or referred to in Schedule 1 to this Agreement; (ii) enter into contracts with Guarantee Holders, providing guarantees against the Covered Risks and containing the terms and conditions substantially similar to those specified in the Standard Form of Guarantee Contract; and (iii) duly comply with all its obligations under the Agency Agreement and the Guarantee Contracts. (c) Without limitation upon the provisions of paragraphs (a) and (b) of this Section and except as the Borrower, the Administrator and IGA shall otherwise agree, IGA shall carry out Part A.1 of the Project in accordance with the Implementation Program set forth in Schedule 2 to this Agreement. (d) Goods and services required for Parts A.2 and A.3 of the Project and to be financed out of the Additional Escrow Amounts shall be procured in accordance with procedures acceptable to the Administrator.

The Guarantor shall: (a) furnish to the Bank a copy of each of the studies to be carried out under Parts A (4)(b), A (5)(a) and A (5)(b) of the Project upon its completion; (b) afford the Bank a reasonable opportunity to exchange views with the Guarantor and to comment on the conclusions and recommendations thereof; and (c) within a period not exceeding six months of such exchange of views, develop and thereafter carry out a plan of actions, to achieve the objectives of such study, taking into consideration the conclusions and recommendations thereof and the Bank’s comments thereon. Section 3.05. The Guarantor shall, by December 31, 1988: (a) develop, under terms of reference satisfactory to the Bank, and initiate the carrying out of, the export trade promotion and marketing program referred to under Part A (1) of the Project; and (b) cause to be established, and thereafter maintained, under the auspices of its Ministry of Trade, a separate export trade promotion and marketing office, under terms of reference satisfactory to the Bank and with adequate staff and other resources, to coordinate and supervise the carrying out of the said program. Section 3.06. The Guarantor shall duly perform all its obli- gations under the Subsidiary Loan Agreement. Except as the Bank shall otherwise agree, the Guarantor shall not take or concur in any action which would have the effect of amending, abrogating, assigning or waiving the Subsidiary Loan Agreement or any provi- sion thereof.
