FCC Regulatory Matters. (a) Section 4.12(a) of the Buyer Disclosure Schedule sets forth a true and complete list of each 38.6 - 40 GHz license, permit and authorization issued by the FCC to the Buyer (or its subsidiaries) (collectively, the “Buyer Wireless Licenses”), with the name of the licensee or permit holder, the call sign, and the license expiration date of each Buyer Wireless License. (b) Except as set forth in Section 4.12(b) of the Buyer Disclosure Schedule, the Buyer is in compliance with the Communications Act, and the rules, regulations and policies of the FCC promulgated thereunder applicable to the Buyer, and the Buyer is in compliance with all other federal, state and local laws, rules, regulations and ordinances applicable to the Buyer and is not in default under any order, writ, injunction or decree of any court or governmental agency or instrumentality applicable to the Buyer, except for any noncompliance that would not materially threaten or adversely affect the validity, continued effectiveness, material terms, or likelihood of renewal of any of the Buyer Wireless Licenses.

FCC Regulatory Matters. (a) The Company holds, directly or indirectly, all the licenses, consents, permits, approvals and authorizations (the "Licenses") issued by the Federal Communications Commission (the "FCC") which are required in connection with the ownership and operation of the Company's assets and business as presently conducted by the Company, except for such licenses, consents, permits, approvals and authorizations for which the failure to so hold would not have a Material Adverse Effect. (b) The companies listed on Section 2.20(b) of the Disclosure Schedule (the "Licensees") are all direct or indirect Subsidiaries of the Company. The Licensees hold the Licenses set forth on Section 2.20(b) of the Disclosure Schedule. The Licenses are in full force and effect. The Licenses are not subject to any conditions outside of the ordinary course that do not appear on the Licenses themselves other than those imposed by applicable law on FCC licenses of a similar class. The Licenses are not subject to any FCC debt. (c) Except for proceedings affecting the wireless industry generally or as set forth on Section 2.20(c) of the Disclosure Schedule, to the knowledge of the Company there is not pending or threatened in writing against the Company, the Licensees or the Licenses any action, formal complaint, claim, investigation, suit, notice of violation, petition, objection or other pleading or proceeding which seeks the revocation, cancellation, forfeiture, non-renewal or suspension of any of the Licenses, or which seeks the imposition of any material adverse modification or amendment thereof. (d) Except as set forth on Section 2.20(d) of the Disclosure Statement, all documents, notices, reports, payments or other filings required to be filed or made prior to the date of this Agreement by the Company or the Licensees with the FCC pursuant to applicable law with respect to the Licenses have been timely filed or made or the time period for such filing or payment has not lapsed, except where the failure to timely file, pay or to make such filing or payment would not have a Material Adverse Effect. To the knowledge of the Company, all such filings were complete and correct in all material respects when filed. (e) To the knowledge of the Company, the Company and the Licensees are in compliance with all Communication Laws applicable to the Licenses, and have complied with the terms and conditions of the Licenses, except where non-compliance would not have a Material Adverse Effect. FCC Regulatory Matters. (a) FCC Authorizations. Schedule 1.1 sets forth a true and complete ------------------ list of each Authorization, the name of the licensee or permit holder, the call sign, the Authorization expiration date, the geographic area covered by such Authorization and the status of any applications for assignment, transfer or waiver of FCC rules filed (or to be filed) with the FCC. Seller has provided to ART true and correct copies of the Authorizations received by it from the FCC. None of such Authorizations are subject to any Lien, and Sellers own all of the right, title and interest in, to and under such Authorizations. Each Seller is qualified under all laws, rules and regulations to hold the Authorizations held by it.
FCC Regulatory Matters. (a) The Seller is in compliance with the Federal Communications Act of 1934, as amended (the "Communications Act"), and the rules, regulations and policies of the FCC promulgated thereunder applicable to either Seller or the Assets, and Seller is in compliance with all other federal, state and local laws, rules, regulations and ordinances applicable to either Seller or the Assets and is not in default under any order, writ, injunction or decree of any court or governmental agency or instrumentality applicable to either Seller or the Assets, except for any non-compliance or default which in either case would not have a material adverse effect on the Sellers' ability to consummate the transactions contemplated by this Agreement or on the Assets.

FCC Regulatory Matters. Except in each case as would not have a ---------------------- material adverse effect on ART or the transactions contemplated hereby, ART is in compliance with the Communications Act and the rules, regulations and policies of the FCC promulgated thereunder applicable to ART or its assets, and ART is in compliance with all other federal, state and local laws, rules, regulations and ordinances applicable to ART or its assets and is not in default under any order, writ, injunction or decree of any court or government agency or instrumentality. ART knows of no facts pertaining to its qualifications to be a licensee which would cause the FCC not to issue approval with respect to, or otherwise prevent, the transfer to ART pursuant to this Agreement of the Licensees (other than those relating to the wireless communications industry or 39 GHz Licenses generally).

FCC Regulatory Matters. (a) FCC AUTHORIZATIONS. Exhibit 3.25 sets forth a true and ------------------ complete list of each Authorization, the name of the licensee or permit holder, the call sign, the geographic area covered by such Authorization by latitude and longitude and the status of any pending applications for assignment, transfer or waiver of FCC rules filed with the FCC with respect to the Authorizations. Subject to the rules of the FCC and the Communications Act, to the knowledge of the Sellers after inquiry of Company's counsel and review of its files, the Company is qualified under all laws, rules and regulations to hold the Authorizations held by it, and the Company holds all of the right and interest in, to and under the Authorizations, and none of such Authorizations are subject to any Lien.
FCC Regulatory Matters. (a) The Company and its Subsidiaries have all licenses, permits, certificates, franchises, consents, waivers, registrations or other regulatory authorizations from each Governmental Entity that regulates telecommunications in each applicable jurisdiction, including without limitation, (i) the appropriate foreign Governmental Entities (together with any renewals, extensions, or modifications thereof and any additions thereto made as of the Closing Date, the "Foreign Licenses"); and (ii) the FCC (together with any renewals, extensions or modifications thereof and any additions thereto made as of the Closing Date, the "FCC Licenses") in each case that are required for the conduct of the
