Common use of Federal and State Laws Clause in Contracts

Federal and State Laws. 10.1.1 Nothing in this Agreement shall be construed to require either of the parties hereto to act contrary to any State or Federal law or regulation. In the event that any such condition arises, it is agreed that this Agreement shall be deemed to be modified in respect to either or both parties to the extent necessary to comply with such law or regulation.
