Fees for Management Services. As consideration payable to the Service Provider or any of its Affiliates for providing the Management Services to the Company, the Company shall pay to the Service Provider an annual management fee in respect of each fiscal year of the Company in an amount equal to $76,200 (the "Management Fee"). The Management Fee shall be payable in advance in monthly installments of $6,350 on the first Business Day of each month of each such fiscal year, commencing on June 2, 2014. For purposes of this Agreement, "Business Day" means any day except Saturday, Sunday or any other day on which commercial banks located in New York, New York are authorized or required by applicable law to be closed for business.

Such fees shall not exceed the average of fees charged by other Foundations which are members of the National Association of United Methodist Foundations.

Fees for Management Services. As consideration payable to the Manager or any of its affiliates for providing Management Services to the Company, the Company shall pay to the Manager for three years a management fee equal to $37,500 per quarter, payable quarterly in arrears, with a minimum of $25,000 per quarter paid in cash and the remaining up to $12,500 per quarter paid in cash or restricted common stock of the Parent Company (the “Common Stock”), as decided by the Manager (the “Management Fee”). The value of restricted Common Stock, if any, paid as part of the Management Fee will be calculated based upon the average 5-day closing price of the Common Stock ending as of the end of each applicable quarter (or, if the Common Stock is not then publicly listed, as determined in good faith by the Board of Directors of the Company using industry standard valuation metrics).
