Final Cost Report. SAMPLE Upon completion of principal photography, Producer must submit to SAG-AFTRA a detailed report of actual expenditures and other relevant materials as SAG-AFTRA may require, showing actual cost of the production. In the event that the actual production costs for the Picture have exceeded $700,000 (or $1,050,000 under the Diversity in Casting Incentive), full payment of any additional sums necessary to bring each Performer's rate of pay in compliance with the minimum rates specified in the SAG-AFTRA Letter Agreement for Low Budget Theatrical Pictures (hereinafter, "Low Budget Agreement") automatically become due and payable. However, if the actual cost of the Picture exceeds the budget limit specified in the Low Budget Agreement, the minimum rates, terms and conditions specified in the then- current Basic Agreement become due and payable instead. Pension and Health contributions must also be paid on these additional amounts.
Final Cost Report. CONTRACTOR shall submit a final cost report to COUNTY substantiating the costs and expenses incurred pursuant to the terms and conditions of this Agreement within sixty (60) days following the expiration or termination of this Agreement. The final cost report submitted pursuant to the terms and conditions of this Agreement shall be prepared using a format substantially similar to Exhibit C – Final Cost Report Form, which is attached hereto and incorporated herein by this reference as if set forth in full.

Final Cost Report. Within one hundred fifty (150) days after Closing, Lessor shall furnish to Lessee a copy of Lessor's final cost report filed in respect of the Medicare and Medicaid programs, or any successor governmental program, reflecting consummation of the transactions contemplated hereby.

Final Cost Report. Seller shall file or cause to be filed the final Cost Reports for the period prior to the Closing required to be filed with the Medicare or Medicaid programs or any other third party payor or Governmental Body as a result of the consummation of the Contemplated Transactions. Seller shall assume and be responsible for any liability incurred as a result of the filing of any of said reports or as a result of filing any previous Cost Report for periods prior to the Closing and shall be entitled to receive any refund or other benefit which may result from the filing of said reports or otherwise allocable to periods prior to the Closing. Such reports shall be prepared in accordance with applicable Law and consistent with past practices. Seller shall provide Purchaser with copies of said reports within a reasonable period of time prior to the filing thereof in order for Purchaser to review and provide Seller with comments thereon solely regarding reimbursement issues for periods after the Closing. Seller shall consider but not be required to make, Purchaser’s changes and shall determine in its reasonable discretion whether or not to incorporate Purchaser’s comments into any such Cost Report, by amendment or otherwise. Seller shall provide to Purchaser copies of all such documents promptly after filing.

For the Glenwood Gardens (SNF) Facility, Seller shall prepare (or cause its Manager to prepare) and file, pursuant to and within the time frame required by applicable law and regulation and in any event within 120 days following the Closing for such Property, the cost reports or portions of cost reports, if any, required or permitted by governmental or third party payors for the stub period ending on the Closing Date on account of the assignment of the Provider Numbers or sale of the Facility. Seller shall provide Buyer an opportunity to review such cost reports prior to their submission, but the reports will not be subject to Buyer's consent or approval.
