In which case: A Processor shall provide its instructing Controller with all reasonable assistance and co-operation to enable the Controller to comply with its obligations under FOIA or EIR; and A Controller as set out in clause 11.1 Controller shall consult any Party it reasonably considers relevant or who may have a legitimate interest in respect of any commercial, confidential or other issues in relation to the Agreement relevant to the issue of whether the information is exempt from disclosure or not; however the final decision about disclosure of information or application of exemptions shall rest solely with the Controller which has received the request.
