Data Processing Activities. 2.1 The Parties agree that, as between the Company and the Customer, the Customer owns and shall retain ownership of all right, title and interest in and to the Customer Data. 2.2 Details of the Personal Data that the Company will be processing when performing its obligations under this Agreement (including the subject-matter, nature and purpose of the processing, the types of personal data to be processed and the categories of data subjects to whom the data relates) are set out in Schedule 5. 2.3 The Parties hereby record their intention that the Customer shall be the Data Controller and the Company shall be the Data Processor in respect of such data.

Data Processing Activities. The subject matter and duration of the Processing Student teacher identifiers and corresponding safeguarding checks required by the processor for the duration of the placement block and available for the duration of the academic year in which they were communicated.
Data Processing Activities. 3.1 Customer understands that Luware and its Approved Third Parties will process Customer Personal Data in accordance with the applicable Data Protection Laws, the Terms of Use, this DPA, the Documentation and the Luware Privacy Policy, as amended from time to time. 3.2 Customer Personal Data is processed to perform the contractual obligations as set out in the Terms of Use, specifically the following processing activities: • Support and Maintenance Services: Luware may provide support and maintenance services to Customer in connection with the Terms of Use. Support and maintenance may be provided either in the context of Software or cloud-based Services (as may be applicable). When providing support and maintenance, Luware may be required to access or receive Customer Personal Data.
Data Processing Activities. TPUK and MZCR acknowledge that: (a) MZCR is not a processor of anydata controlled by TPUK. (b) MZCR will provide TPUK with the course participants’ name and email addresses and may provide TPUK with further information, being the course participants’ employer, job title and details of any Triple P courses they have previously attended (the “Enrolment Data”). TPUK is the Data Controller for the Enrolment Data and will process the Enrolment Data to facilitate the provision of the Services; (c) TPUK will provide MZCR with the name and email address of the Trainer. MZCR will be the Controller in respect to their own processing of that data. (d) TPUK will collect personal data from the course participants themselves “(the Attendee Data”). This may include special category personal data via the Disability and Special Dietary Requirements Disclosure Forms. TPUK will collect express consent from the data subjects to process the special category personal data and will not disclose that special category personal data to MZCR. TPUK is the Data Controller for the Attendee Data. (e) TPUK will provide MZCR with some personal data after the completion of the training and/or accreditation sessions and pre-accreditation workshop(s), either through email or in the reports which form part of the Services. Survey responses will be included in the reports, but in deidentified form. The personal information provided will be the names of the people who attended the session(s)/workshop(s), whether they met the minimum attendance requirements and whether they are accredited in the positive parenting program. (f) TPUK may provide additional personal data about the course participants. Trainers may from time to time, record their observations or opinions about course participants. This may include whether the participant stood out as being particularly skilled in an area of the course, whether the Trainer believes the participant would benefit from additional training or support, or whether the behaviour of the participant was problematic and negatively impacted on the delivery of the session or workshop. Should TPUK provide MZCR with this type of personal data, MZCR will be the Controller in respect to their own processing of that data. (g) TPUK and MZCR declare that they have appropriate technical and organizational tools to ensure that collected personal data will be processed in accordance with the relevant provisions of the GDPR. Data Processing Activities. 1. Processor shall only process personal data on behalf of the Controller if the Controller has provided specific written instructions to that effect in Exhibit A of this Data Processing Agreement. 2. Processor will not use the personal data which it processes in the context of this Data Processing Agreement for its own or third-party purposes without Controller’s express written consent, unless a legal provision under Applicable Law requires Processor to do so. In such case, Processor shall immediately inform Controller of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest. 3. Controller is responsible and liable for the processing of personal data in relation to the Agreement and guarantees that the instructed processing is in compliance with the Applicable Law. Controller will indemnify and hold Processor harmless against any and all claims of third parties, those of the relevant supervisory bodies and data subjects in particular, resulting in any way from not complying with this guarantee. 4. In case that Processor is of the opinion that an instruction relating to the provisions of this paragraph infringes the Applicable Law, Processor will inform Controller without undue delay via the email address known. Once informed that one of its instructions may be in breach of the Applicable Law, Controller will assess the situation and determine whether the instruction actually violates the Applicable Law. If Controller persists with the unlawful instruction or does not respond adequately, Processor is entitled to terminate the Data Processing Agreement and the Agreement without becoming liable for the consequences thereof. 5. Controller acknowledges that Processor is a Dutch company that complies with Dutch (data protection) regulations. Controller shall stipulate to Processor in writing all local regulatory requirements which apply to the processing of the personal data in its jurisdiction.
Data Processing Activities. 2.1 Details of the Personal Data that New Signature will be processing when performing its obligations under a Statement of Work (including the subject-matter, nature and purpose of the processing, the types of personal data to be processed and the categories of data subjects to whom the data relates) are set out in the relevant Statement of Work. 2.2 The parties hereby record their intention that the Customer shall be the Data Controller and that New Signature shall be the Data Processor in respect of such data. 2.3 For the avoidance of doubt, the parties acknowledge that where New Signature, in the course of providing Software and/or Services to or for the Customer pursuant to this Agreement, procures for the Customer software and/or services provided directly by a third party to the Customer (under a contract between the relevant third party and the Customer) and the relevant third party Processes Personal Data on behalf of the Customer, New Signature shall not itself be carrying out this Processing of Personal Data on behalf of the Customer and shall not be responsible or liable for any Processing of Personal Data undertaken by the relevant third party on behalf of the Customer (following any such procurement).
