Governance, Meetings and Reports. State Street acknowledges and agrees that one of the key business requirements of the BTC Recipients is for State Street to provide the Services in a consistent, integrated manner across all State Street locations, regardless of geography. To meet such requirement, State Street will organize its relationship with the BTC Recipients and its service delivery team in accordance with the governance committees, processes and procedures set forth in Exhibit C and this Article 11.

BRIL and BFA, on behalf of the Funds, will meet bi-annually to discuss the performance of the ETF Services and mutually agree to any changes to the Service Levels as necessary to accurately reflect the then-current Service Levels. During such bi-annual discussions, the parties shall review the Service Levels and make adjustments to them as appropriate to reflect changing business needs or improved performance capabilities associated with advances in technology and methods used to perform the ETF Services. BRIL and BFA, on behalf of the Funds, will meet annually to discuss and mutually agree to any changes to the ETF Servicing Fees (as defined in Section 4.01), subject to approval by the Companies.

Unless otherwise agreed in writing, the parties shall conduct the following meeting: 46.1.1. ad hoc meetings as reasonably required to ensure that the Services are performed effectively: 46.1.2. a monthly meeting between: 46.1.2.1. operational staff representing each of SARS and the Service Provider to discuss daily performance and planned or anticipated activities and otherwise address, review, and discuss matters specific to SARS; and 46.1.2.2. the parties’ designated representatives to discuss any proposed changes that might adversely affect performance and to review the Service Provider’s performance of the Services as measured by the service levels. At such meetings, the Service Provider shall identify the actions it will take to rectify any failures to perform the Services in accordance with the service specifications, which actions shall be subject to SARS’s review and approval; and 46.1.2.3. a quarterly senior management meeting by the parties to review relevant relationship, contractual and performance issues. 46.2. The Service Provider will provide SARS with all reports reasonably required by SARS and specified in a statement of work.

  • Reports/Meetings The Contractor shall develop reports and any other relevant documents necessary to complete the services and requirements as set forth in this Contract. The County’s Project Manager and the Contractor’s Project Manager will meet at a County designated location to discuss the Contractor’s performance and progress under this Contract, at the request of the County’s Project Manager. If requested by County, the Contractor’s Project Manager and other project personnel shall attend all meetings. The Contractor shall provide such information that is requested by the County for the purpose of monitoring progress under this Contract.

  • Joint Meetings 10.1(a) Should either party desire to discuss with the other any matter affecting generally the relationship of the parties, a meeting of Union and management representatives shall be arranged upon request of either party. Such meeting shall take place at a time mutually convenient to both parties.   • PROCEEDINGS AT GENERAL MEETINGS No business shall be transacted at any meeting unless a quorum is present. A Member counts towards the quorum by being present either in person or by proxy. Two persons entitled to vote upon the business to be transacted, each being a Member or a proxy of a Member or a duly authorised representative of a Member organisation shall constitute a quorum.

  • ATTENDANCE AT MANDATORY MEETINGS/SCHOOL EVENTS Where an employee is required through clear direction by the board to attend work outside of regular working hours, the provisions of the local collective agreement regarding hours of work and compensation, including any relevant overtime/lieu time provisions, shall apply. Required attendance outside of regular working hours may include, but is not limited to school staff meetings, parent/teacher interviews, curriculum nights, Individual Education Plan and Identification Placement Review Committee meetings, and consultations with board professional staff.

  • Meetings and Hearings All meetings and hearings under this procedure shall not be conducted in public and shall include only such parties in interest and their designated or selected representatives, heretofore referred to in this Article.
