GP Transfer Provisions. (1) Once a Buy/Sell Notice has been received by either Cayuga or Fleetwood, Cayuga and NPI will not, and will not cause or permit any Member of the Cayuga Group to, take any action, or fail to take any reasonable action, intended to alter adversely the rights, authority or obligations of the General Partner in any way. After a Buy/Sell Closing in which the members of the Cayuga Group are sellers, upon written request from Fleetwood, NPI shall cause the GP Interest to continue to be held by the General Partner so that, if Fleetwood so elects, NPI may transfer or cause to be transferred to Fleetwood or its designee the GP Stock at the GP Transfer Closing. (2) If Cayuga notifies (or is deemed to have notified) Fleetwood that the Cayuga Group has elected to sell Interests, Member Units and Member Loans pursuant to Section 7.05(b)(iii)(1) or (2) or if any member of the Cayuga Group is a seller at the Buy/Sell Closing, then from and after the date of such notice (or deemed notice) or Buy/Sell Closing Fleetwood may exercise the GP Transfer Option by delivering a GP Exercise Notice to Cayuga and NPI. (3) The closing of the GP Transfer (the "GP Transfer Closing") shall take place at the principal offices of NPI at 10:00 a.m., local time, on the first Business Day which is 45 days after the receipt by Cayuga and NPI of the GP Exercise Notice, in the event that the Debt Requirement (as defined below) is not applicable, otherwise the GP Transfer Closing will take place as soon as practicable after the Debt Requirement is satisfied, waived by Fleetwood or otherwise eliminated; provided, however, that if Fleetwood delivers the GP Exercise Notice to Cayuga and NPI at least 20 days prior to the Buy/Sell Closing pursuant to Section 7.05(b)(iv) and if the Debt Requirement is not applicable, then the GP Transfer Closing shall take place simultaneously with the Buy/Sell Closing. GP Transfer Provisions. (1) Once a Buy/Sell Notice has been received by either Insignia or Riverdale, Insignia will not, and will not cause or permit any Member of the Insignia Group to, take any action, or fail to take any reasonable action, intended to alter adversely the rights, authority or obligations of the General Partner in any way. After a Buy/Sell Closing in which the members of the Insignia Group are sellers, upon written request from Riverdale, Insignia shall, and shall cause the members of the Insignia Group to, cause the GP Interest to be held by a single-asset corporation (which may be Davidson Diversified Properties, Inc.) so that, if Riverdale so elects, Insignia may transfer or cause to be transferred to Riverdale or its designee the GP Stock instead of the GP Interest at the GP Transfer Closing; provided, however, that (x) Insignia and its Affiliates shall not be required to spend more than nominal sums to effect such ownership structure, and (y) Riverdale shall fully and unconditionally indemnify and hold harmless Insignia and IFG and their respective controlling persons, Affiliates, officers, directors and employees from and against any and all loss, liability or damage, in each case arising out of any claim, whether for breach of contract, breach of fiduciary duty or otherwise, by the Partnership or any partner or former partner thereof, in its capacity as such, that any of them may incur by reason of the transfer of the GP Stock to Riverdale or its designee or any of the transactions required to facilitate or incidental to such transfer. (2) If Insignia notifies (or is deemed to have notified) Riverdale that the Insignia Group has elected to sell Shares and Member Units pursuant to Section 5(b)(iii)(1) or (2) above or if any member of the Insignia Group is a seller at the Buy/Sell Closing, then from and after the date of such notice (or deemed notice) or Buy/Sell Closing Riverdale may exercise the GP Transfer Option by delivering a GP Exercise Notice to Insignia. (3) The closing of the GP Transfer (the "GP Transfer Closing") shall take place at the principal offices of Insignia at 10:00 a.m., local time, on the first Business Day which is 30 days after the receipt by Insignia of the GP Exercise Notice, in the event that neither the Vote Requirement nor the Debt Requirement (each as defined below) is applicable, otherwise the GP Transfer Closing will take place as soon as practicable after the Vote Requirement is satisfied and/or the Debt Requirement is sati...

  • Lock-Up Provisions (a) The Subject Party hereby agrees not to, during the period commencing from the Closing and ending on the earliest of (x) six (6) months after the date of the Closing and (y) the date after the Closing on which the Purchaser consummates a liquidation, merger, capital stock exchange, reorganization, or other similar transaction with an unaffiliated third party that results in all of the Purchaser’s stockholders having the right to exchange their shares of the Purchaser Common Stock for cash, securities, or other property (the “Lock-Up Period”): (i) lend, offer, pledge, hypothecate, encumber, donate, assign, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right or warrant to purchase, or otherwise transfer or dispose of, directly or indirectly, any Restricted Securities, (ii) enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of the Restricted Securities, or (iii) publicly disclose the intention to do any of the foregoing, whether any such transaction described in clauses (i), (ii), or (iii) above is to be settled by delivery of Restricted Securities or other securities, in cash or otherwise (any of the foregoing described in clauses (i), (ii), or (iii), a “Prohibited Transfer”). (b) The foregoing shall not apply to the transfer of any or all of the Restricted Securities (I) to any Permitted Transferee or (II) pursuant to a court order or settlement agreement related to the distribution of assets in connection with the dissolution of marriage or civil union; provided, however, that in either of cases (I) or (II), it shall be a condition to such transfer that such transfer complies with the Securities Act of 1933, as amended, and other applicable law, and that the transferee executes and delivers to the Purchaser an agreement stating that the transferee is receiving and holding the Restricted Securities subject to the provisions of this Agreement applicable to the Subject Party, and there shall be no further transfer of such Restricted Securities except in accordance with this Agreement. As used in this Agreement, the term “Permitted Transferee” shall mean: (1) the members of the Subject Party’s immediate family (for purposes of this Agreement, “immediate family” shall mean with respect to any natural person, any of the following: such person’s spouse or domestic partner, the siblings of such person and his or her spouse or domestic partner, and the direct descendants and ascendants (including adopted and step children and parents) of such person and his or her spouses or domestic partners and siblings), (2) any trust for the direct or indirect benefit of the Subject Party or the immediate family of the Subject Party, (3) if the Subject Party is a trust, to the trustor or beneficiary of such trust or to the estate of a beneficiary of such trust, (4) in the case of an entity, officers, directors, general partners, limited partners, members, or stockholders of such entity that receive such transfer as a distribution, or related investment funds or vehicles controlled or managed by such persons or their respective affiliates, (5) to any affiliate of the Subject Party, and (6) any transferee whereby there is no change in beneficial ownership. The Subject Party further agrees to execute such agreements as may be reasonably requested by the Purchaser that are consistent with the foregoing or that are necessary to give further effect thereto.

  • Restriction on Transfer, Proxies and Non-Interference Except as contemplated hereby, the Stockholder shall not (i) sell, transfer, pledge, encumber, assign or otherwise dispose of, or enter into any contract, option or other arrangement or understanding with respect to the sale, transfer, pledge, encumbrance, assignment or other disposition of, any of his or her Shares, (ii) grant any proxies, deposit any shares of capital stock of the Company into a voting trust or enter into a voting agreement with respect to any such Shares or (iii) take any action that would make any representation or warranty of the Stockholder contained herein untrue or incorrect or have the effect of preventing or disabling the Stockholder from performing his or her obligations under this Voting Agreement. Notwithstanding the foregoing, the Stockholder shall be permitted to (i) transfer any of the Owned Shares to any member of the immediate family of the Stockholder or any trust, limited partnership or other entity the beneficial ownership of which is held by the Stockholder or such family members (each, a "Permitted Transferee"), so long as such Permitted Transferee agrees in writing, in form and substance satisfactory to the Purchaser, to be bound by the terms hereof to the same extent as the Stockholder is bound and provided further, however, that no such transfer shall relieve the Stockholder of his or her obligations hereunder if such Permitted Transferee does not perform such obligations, (ii) dispose of any Owned Shares in payment of the exercise price or any withholding taxes in connection with any exercise by the Stockholder of stock options outstanding on the date of this Voting Agreement to acquire shares of capital stock of the Company and (iii) transfer by gift to any charitable organization up to the number of Owned Shares indicated on Schedule A under the heading "Maximum Number of Shares that May be Transferred by Gift."

  • Transfer Procedure After receipt by Silicon Valley Bank of the executed Warrant, Silicon Valley Bank will transfer all of this Warrant to its parent company, SVB Financial Group. By its acceptance of this Warrant, SVB Financial Group hereby makes to the Company each of the representations and warranties set forth in Section 4 hereof and agrees to be bound by all of the terms and conditions of this Warrant as if the original Holder hereof. Notwithstanding any contrary provision herein, at all times prior to the IPO, Holder may not, without the Company’s prior written consent, transfer this Warrant or any portion hereof, or any Shares issued upon any exercise hereof, or any shares or other securities issued upon any conversion of any Shares issued upon any exercise hereof, to any person or entity who directly competes with the Company, except in connection with an Acquisition of the Company by such a direct competitor.

  • Lock-up; Transfer Restrictions (a) The Sponsor and the Insiders agree that they shall not Transfer any Founder Shares (the “Founder Shares Lock-up”) until the earliest of (A) one year after the completion of the Company’s initial Business Combination and (B) the date following the completion of an initial Business Combination on which the Company completes a liquidation, merger, share exchange, reorganization or other similar transaction that results in all of the Public Shareholders having the right to exchange their Ordinary Shares for cash, securities or other property (the “Founder Shares Lock-up Period”). Notwithstanding the foregoing, if, subsequent to a Business Combination, the closing price of the Ordinary Shares equals or exceeds $12.00 per share (as adjusted for share splits, share capitalizations, reorganizations, recapitalizations and the like) for any 20 trading days within any 30- trading day period commencing at least 150 days after the Company’s initial Business Combination, the Founder Shares shall be released from the Founder Shares Lock-up. (b) Subject to the provisions set forth in paragraph 5(c), the Sponsor and Insiders agree that they shall not effectuate any Transfer of Private Placement Warrants or the Ordinary Shares underlying such Private Placement Warrants until 30 days after the completion of an initial Business Combination. (c) Notwithstanding the provisions set forth in paragraphs 5(a) and (b), Transfers of the Founder Shares, Private Placement Warrants or Ordinary Shares underlying the Private Placement Warrants are permitted (a) to the Company’s officers or directors, any affiliates or family member of any of the Company’s officers or directors, any members or partners of the Sponsor or their affiliates, any affiliates of the Sponsor, or any employees of such affiliates; (b) in the case of an individual, by gift to a member of one of the individual’s immediate family or to a trust, the beneficiary of which is a member of the individual’s immediate family, an affiliate of such person or to a charitable organization; (c) in the case of an individual, by virtue of laws of descent and distribution upon death of the individual; (d) in the case of an individual, pursuant to a qualified domestic relations order; (e) by private sales or transfers made in connection with the consummation of a Business Combination at prices no greater than the price at which the Founder Shares, Private Placement Warrants or Ordinary Shares, as applicable, were originally purchased; (f) by virtue of the Sponsor’s organizational documents upon liquidation or dissolution of the Sponsor; (g) to the Company for no value for cancellation in connection with the consummation of its initial Business Combination, (h) in the event of the Company’s liquidation prior to the completion of its initial Business Combination; or (i) in the event of completion of a liquidation, merger, share exchange or other similar transaction which results in all of the Company’s Public Shareholders having the right to exchange their Ordinary Shares for cash, securities or other property subsequent to the completion of an initial Business Combination; provided, however, that in the case of clauses (a) through (f) these permitted transferees must enter into a written agreement agreeing to be bound by these transfer restrictions. (d) During the period commencing on the effective date of the Underwriting Agreement and ending 180 days after such date, the Sponsor and each Insider shall not, without the prior written consent of the Representatives, Transfer any Units, Ordinary Shares, Warrants or any other securities convertible into, or exercisable or exchangeable for, Ordinary Shares held by it, her or him, as applicable, subject to certain exceptions enumerated in Section [6(h)] of the Underwriting Agreement.

  • Transfer Procedures 1. The transfers referred to in Article 4, 5, 6 and 7 shall be effected without undue delay and, at all events, within six months after all fiscal obligations have been met and shall be made in a convertible currency. All the transfers shall be made at the prevailing exchange rate applicable on the date on which the investor applies for the related transfer, with the exception of the provisions under point 3 of Article 5 concerning the exchange rate applicable in case of nationalization or expropriation. 2.
