GRANT OF ADVERTISING AND PROMOTIONAL RIGHTS. During the Term, Customer hereby grants to Pepsi the right to advertise and promote Products in and with respect to the Customer, the Team and the Customer Marks upon the terms and conditions contained in this Agreement and as set forth and described below.

GRANT OF ADVERTISING AND PROMOTIONAL RIGHTS. 3.1.1 Sponsor shall receive one (1) Exit Billboard sign located at the exit road of the Hershey Entertainment Complex. Sponsor shall be responsible for all costs associated with artwork production. All artwork to be approved by HE&R not to be unreasonably denied, conditioned or delayed. Signage shall be fabricated and maintained by HE&R, at no additional cost to Sponsor. Any changes to the sign after the original production by HE&R would be the responsibility of Sponsor, unless such change is required by HE&R. 3.1.2 Sponsor’s artwork to be displayed on two (2) billboards located inside HERSHEYPARK on the fence at the 3 Point Challenge game. Sponsor shall be responsible for all costs associated with artwork production. All artwork to be approved by HE&R not to be unreasonably denied, conditioned or delayed. Signage shall be fabricated, installed and maintained by HE&R, at no additional cost to Sponsor. Any changes to the sign after the original production by HE&R would be the responsibility of Sponsor, unless such change is required by HE&R. Sponsor shall also have the opportunity to provide branded items as prize giveaways. All prizes to be approved by HE&R prior to distribution. Please Note: The cost of prizes shall be the sole responsibility of the Sponsor and is above and beyond the cost of the Sponsorship. 3.1.3 Sponsor’s logo and link to Sponsor’s website shall be included on the Partner’s in Fun page of the Park website. 3.1.4 Sponsor shall have the opportunity to conduct three (3) on-site events during the regular HERSHEYPARK operating season. Dates, times, locations and details of the on-site events shall be mutually agreed upon by the parties. The types of information and other items distributed by Sponsor during the on-site events must be pre-approved by HE&R. Sponsor’s representatives are responsible for administering the on-site events, including distributing Sponsors collateral. Sponsor shall employ a “soft sell” approach in conducting business activities
GRANT OF ADVERTISING AND PROMOTIONAL RIGHTS. Subject to the terms and conditions of this Agreement, FISD hereby grants and sells to SPONSOR, and SPONSOR hereby purchases and accepts from the FISD, the advertising and promotional rights described on Exhibit A attached hereto (collectively, the “Rights”).

  • Reporting of Abuse, Neglect, or Exploitation Consistent with provisions of 33 V.S.A. §4913(a) and §6903, Party and any of its agents or employees who, in the performance of services connected with this agreement, (a) is a caregiver or has any other contact with clients and (b) has reasonable cause to believe that a child or vulnerable adult has been abused or neglected as defined in Chapter 49 or abused, neglected, or exploited as defined in Chapter 69 of Title 33 V.S.A. shall: as to children, make a report containing the information required by 33 V.S.A. §4914 to the Commissioner of the Department for Children and Families within 24 hours; or, as to a vulnerable adult, make a report containing the information required by 33 V.S.A. §6904 to the Division of Licensing and Protection at the Department of Disabilities, Aging, and Independent Living within 48 hours. Party will ensure that its agents or employees receive training on the reporting of abuse or neglect to children and abuse, neglect or exploitation of vulnerable adults.

  • Advertising Prohibition Provider is prohibited from using Student Data to (a) market or advertise to students or families/guardians; (b) inform, influence, or enable marketing or advertising efforts by a Provider; (c) develop a profile of a student, family member/guardian or group, for any commercial purpose other than providing the Service to Client; or (d) use the Student Data for the development of commercial products or services, other than as necessary to provide the Service to Client.
