Guarantees and Credit Support. To address each Party's risk relating to the creditworthiness of the other Party, and to secure the prompt fulfilment of all obligations resulting from the Certificate Master Agreement and Individual Contracts, the Parties may agree, on or at any time after the Effective Date, or at the time of the concluding of each Individual Contract, upon the circumstances in which Credit Support Documents may be required to be provided for the benefit of a Party, including, the form of Credit Support Documents, the amount of credit support, and the identity of one or more acceptable Credit Support Providers.
Guarantees and Credit Support. 6.1 Clauses 10.1, 10.2, 10.3 and 10.4 of chapter III of Provisional Access Code shall not apply.
6.2 The Buyer must provide to the Operating Company written evidence in a form and substance satisfactory to the Operating Company that the credit rating of the Buyer with reference to its long term unsecured and unguaranteed debt is equal to or higher than:
(i) Baa3 if provided by Xxxxx'x; or
(ii) BBB- if provided by S&P.
6.3 If the requirements of clause 6.2 are not met by the Buyer (or were met by the Buyer at the time of submission of its Bids but subsequently ceased to be met prior to such Buyer entering into this Agreement), but such requirements are met by such Applicant's Parent Company, Buyer shall provide a First Demand Parent Company Guarantee, in the form provided in Annex III to this Agreement, issued by the Applicant's Parent Company
6.4 If the requirements of clause 6.2 and 6.3 are not met, Buyer shall provide a First Demand Guarantee in the form provided in Annex I to this Agreement.
6.5 The First Demand Parent Company or First Demand Guarantee shall provide for an amount equal to the Contract Sales Price pursuant to Article
5.2 and include VAT if applicable by law dispositions.

Guarantees and Credit Support. The Company shall not issue guarantees or letters of awareness, comfort or support to any 3rd party without prior approval from the Board. However the Company can indemnify and guarantee on its own performance e.g. counter indemnify a Bank for any letter of credit or similar instrument issued on its behalf to a third party and issue guarantees for business related matters on its own strength e.g. custom duty bonds. All guarantees to be given shall be explicitly limited in both value and time and after seeking approval from the Members who shall either (a) indemnify the Company for its issuance of the guarantee based on the Member’s respective shareholding in the Company or (b) the Members will each directly issue the guarantee on behalf of the Company to the third-party beneficiary for an amount proportionate to their respective shareholding. Exceptions regarding guarantees shall only be acceptable if indisputable legal constraints exist.

(d) припинення або призупинення торгівлі будь-якими ф'ючерсними контрактами або товарами, пропонованими відповідною біржею за Базовою Ціною Товару, або накладання істотних обмежень на таку торгівлю;
(e) істотна зміна, що сталася після дня укладання такого Індивідуального Договору, в інформації щодо складу або специфікацій будь-якого відповідного товару або у Базовій Ціні Товару, які (і) вносяться або включаються у відповідний ф'ючерсний контракт чи пропонуються відповідною біржею, або (іі) використовуються будь-якою іншою відповідною установою для визначення Базової Ціни Товару при зборі інформації про ціни, необхідної для визначення Плаваючої Ціни; або
(f) істотна зміна сталася після початку дії відповідного Індивідуального Договору, в порядку обчислення, застосовуваному для будь-якої відповідної Базової Ціни Товару з метою визначення інформації про ціни, необхідної для визначення такої плаваючої ціни.
