Hardware and Software Warranty. 11.1 Subject to Clause 13 of this Part E, the Supplier warrants to the Buyer that the Hardware will be free from material defects in materials and workmanship for twelve (12) months from Acceptance. Defects will be remedied by repair or, at the Supplier’s option, supply of replacement Hardware.

Hardware and Software Warranty. Qualys warrants that the Hardware and Software provided hereunder, when operated by Customer in accordance with this Agreement and the Documentation, will operate in substantial conformity with the applicable Documentation. Customer’s sole and exclusive remedy for breach of this warranty is to notify Qualys of the non-conformity in writing, whereupon Qualys, as its sole obligation and liability, will at its election, either: (i) correct the affected Hardware or Software to render it conforming to the applicable Documentation within a reasonable period of time or replace such Hardware, or Software or in the event that (i) is not commercially reasonable, (ii) allow Customer to terminate the applicable Order and refund Customer a pro-rata portion of the fees paid for such item. This section sets forth Customer’s sole and exclusive remedy and Qualys’ entire liability to Customer for any Software (excluding Cloud Services) or Hardware non-conformity.

Hardware and Software Warranty. 6.1.1 The Hardware and Software comprising the Initial System shall be warranted to be free from defects in material and workmanship for a period of twelve (12) months from the date of Conditional Acceptance. Expansion Product shall be warranted to be free from defects in material and workmanship for a period of twelve months from the date of installation. During the warranty period, any faulty items will be replaced free of charge, which for the avoidance of doubt means any replacement item and the service to replace it will be supplied at no charge to Customer. Replacement parts will be warranted for the balance of the warranty period or ninety days, whichever is longer.

  • Hardware and Software In order to use the Services, you must obtain and maintain, at your expense, compatible mobile hardware and software as specified by Credit Union from time to time. Credit Union is not responsible for any third party software you may need to use the Services. Any such software is accepted by you as is and is subject to the terms and conditions of the software agreement you enter into directly with the third party software provider at time of download and installation.

  • Software Warranty We warrant that the Tyler Software will perform without Defects during the term of this Agreement. MyECheck does not warrant (i) that the Software is error free, (ii) that Customer will be able to operate the Software without problems or interruptions or (iii) that the Software will be free of vulnerability to intrusion or attack. Except for the limited warranty set forth in this section, the Software is provided “AS IS.”

  • Hardware Warranty A. RISK OF LOSS If you purchase any of the hardware Products directly from us, risk of loss or damage to hardware, will pass to you and acceptance will occur upon delivery to your “ship to” address or, if special shipping arrangements are agreed to, upon delivery to your carrier or designee. Title to hardware Products will pass from HPE to you upon full payment for or delivery of the Products, whichever is later. You agree to properly insure the Products for the benefit of HPE between the time risk of loss and damage pass and the time title passes.

  • Hardware and Software Requirements In order to access and retain Disclosures electronically, you must satisfy the following computer hardware and software requirements: access to the Internet; an email account and related software capable of receiving email through the Internet; a web browser which is SSL-compliant and supports secure sessions, and hardware capable of running this software.

  • Software Warranties In addition to, and without limiting the warranties set forth in Section 5 (Warranties) herein, Seller represents and warrants that: (a) all Software shall conform in all respects to all applicable documentation; and

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Software and Documentation Licensee may make as many copies of the Software necessary for it to use the Software as licensed. Each copy of the Software made by Licensee must contain the same copyright and other notices that appear on the original copy. Licensee will not modify the Documentation. Documentation may: (a) only be used to support Licensee’s use of the Software; (b) not be republished or redistributed to any unauthorized third party; and (c) not be distributed or used to conduct training for which Licensee, or any other party, receives a fee. Licensee will not copy any system schema reference document related to the Software.
