HSR Act Waiting Periods. All applicable waiting periods under the HSR Act with respect to the transactions contemplated by this Agreement shall have expired or been terminated.
HSR Act Waiting Periods. All waiting periods applicable to this Agreement and the transactions contemplated hereby under the HSR Act shall have expired and no court or any other governmental entity shall have issued an order restraining or prohibiting the transactions herein contemplated; no governmental entity shall have commenced or threatened in writing to commence any action or suit before any court of competent jurisdiction or other governmental entity that seeks to restrain or prohibit consummation of the transactions contemplated hereby or impose material damages or penalties in connection therewith; and neither the United States Department of Justice nor the Federal Trade Commission (or their representatives) shall have requested, orally or in writing, that Seller delay or postpone the closing.
