Image Access, Inc shall also provide a copy of the Additional Insured endorsement to AT&T- 21STATE. The Additional Insured endorsement may either be specific to AT&T-21STATE or may be “blanket” or “automatic” addressing any person or entity as required by contract. A copy of the Additional Insured endorsement must be provided within sixty (60) calendar days of execution of this Agreement and within sixty (60) calendar days of each Commercial General Liability policy renewal; include a waiver of subrogation in favor of AT&T-21STATE, its Affiliates, and their directors, officers and employees; and

Image Access, Inc shall make all payments to AT&T-21STATE via electronic funds transfers (EFTs) through the Automated Clearing House Association (ACH) to the financial institution designated by AT&T- 21STATE. Remittance Information will be communicated together with the funds transfer via the ACH network. Image Access, Inc. must use the CCD+ or the CTX Standard Entry Class code. Image Access, Inc. and AT&T-21STATE will abide by the National Automated Clearing House Association (NACHA) Rules and Regulations. Each ACH payment must be received by AT&T-21STATE no later than the Xxxx Due Date of each xxxx or Late Payment Charges will apply. AT&T-21STATE is not liable for any delays in receipt of funds or errors in entries caused by Image Access, Inc. or Third Parties, including Image Access, Inc.’s financial institution. Image Access, Inc. is responsible for its own banking fees.
Image Access, Inc will notify AT&T-21STATE at least ninety (90) calendar days or three (3) monthly billing cycles prior to any billing changes. At that time a sample of the new invoice will be provided so that AT&T- 21STATE has time to program for any changes that may impact validation and payment of the invoices. If notification is not received in the specified time frame, then invoices will be held and not subject to any Late Payment Charges, until the appropriate amount of time has passed to allow AT&T-21STATE the opportunity to test the new format and make changes deemed necessary.
Image Access, Inc hereby releases AT&T-21STATE from any and all liability for damages due to errors or omissions in Image Access, Inc.’s End User listing information as provided by Image Access, Inc. to AT&T- 21STATE under this Agreement, including any errors or omissions occurring in the Directory Database or the White Pages directory, or any claims by reason of delay in providing the Directory Assistance listing information, printing or provisioning of non-published numbers or the printing or providing of Image Access, Inc. End User information in the White Pages directory including, but not limited to, special, indirect, Consequential, punitive or incidental damages.
Image Access, Inc acknowledges that its right under this Agreement to Interconnect with AT&T- 21STATE’s network and to unbundle and/or combine AT&T-21STATE’s 251(c)(3) UNEs (including combining with Image Access, Inc.’s Network Elements) may be subject to or limited by Intellectual Property rights (including without limitation, patent, copyright, trade secret, trade xxxx, service xxxx, trade name and trade dress rights) and contract rights of Third Parties.
Image Access, Inc shall reimburse AT&T-21STATE for damages to AT&T-21STATE’s facilities utilized to provide Interconnection Services hereunder caused by the negligence or willful act of Image Access, Inc., its agents or subcontractors or Image Access, Inc.’s End User or resulting from Image Access, Inc.’s improper use of AT&T-21STATE’s facilities, or due to malfunction of any facilities, functions, products, services or equipment provided by any person or entity other than AT&T-21STATE. Upon reimbursement for damages, AT&T-21STATE will cooperate with Image Access, Inc. in prosecuting a claim against the person causing such damage. Image Access, Inc. shall be subrogated to the right of recovery by AT&T- 21STATE for the damages to the extent of such payment.

  • User Access Transfer Agent shall have a process to promptly disable access to Fund Data by any Transfer Agent personnel who no longer requires such access. Transfer Agent will also promptly remove access of Fund personnel upon receipt of notification from Fund.

  • Information Access Each Party (“Disclosing Party”) shall make available to another Party (“Requesting Party”) information that is in the possession of the Disclosing Party and is necessary in order for the Requesting Party to: (i) verify the costs incurred by the Disclosing Party for which the Requesting Party is responsible under this Agreement; and (ii) carry out its obligations and responsibilities under this Agreement. The Parties shall not use such information for purposes other than those set forth in this Article 25.1 of this Agreement and to enforce their rights under this Agreement.

  • Internet Access Data and information may be made electronically accessible to the Company through Internet access to one or more links provided by the Administrator or a sub-administrator (“Web Link”). All rights in Web Link (including text and “look and feel” attributes) are owned by the sub-administrator. Any commercial use of the content or any other aspect of Web Link requires the written permission of the sub-administrator. Use of the Web Link by the Company will be subject to any terms of use set forth on the web site. Web Link and the information (including text, graphics and functionality) in the Web Link is presented “As Is” and “As Available” without express or implied warranties including, but not limited to, implied warranties of non-infringement, merchantability and fitness for a particular purpose. The sub-administrator neither warrants that the Web Link will be uninterrupted or error free, nor guarantees the accessibility, reliability, performance, timeliness, sequence, or completeness of information provided on the Web Link.

To this end, SAP conducts internal and external security checks and penetration tests on its IT systems. • SAP does not allow the installation of software that has not been approved by SAP. • An SAP security standard governs how data and data carriers are deleted or destroyed once they are no longer required.

  • Site Access Dell requires the right to access the APEX System in a timely way and as provided in the Service Offering Description to provide the Support Services. Failure to ensure that Customer provides Dell with timely access to a Site will relieve Dell of the Support Services obligations and Dell may also, at Dell’s discretion, suspend the APEX Service.

  • E-Mail Access Patient shall be given the Physician’s e-mail address to which non-urgent communications can be addressed. Such communications shall be dealt with by the Physician or staff member of the Practice in a timely manner. Patient understands and agrees that email and the internet should never be used to access medical care in the event of an emergency, or any situation that Patient could reasonably expect may develop into an emergency. Patient agrees that in such situations, when a Patient cannot speak to Physician immediately in person or by telephone, that Patient shall call 911 or the nearest emergency medical assistance provider, and follow the directions of emergency medical personnel.

  • Internet Access to Contract and Pricing Information Access by Authorized Users to Contract terms and pricing information shall be made available and publically posted on the OGS website. To that end, OGS shall publically post the Contract Pricelist, including all subsequent changes in the Contract offerings (adds, deletes, price revisions), Contractor contact information, and the Contract terms and conditions, throughout the Contract term.
