Import/Export Regulations. Both parties agree to comply with all applicable trade control laws and regulations of the United States or other countries of intermediate or final delivery of Products or Services. Licensor shall promptly inform GE of all components of the Product or of all enhancements, modifications, revisions, or Updates thereto (including Software Updates), that are subject to United States export laws and regulations.
Import/Export Regulations. 1. Each Party and its Affiliates shall comply with applicable import and export laws and regulations of the United States and of any other country in which they perform under this Agreement and with all applicable export licenses and their provisions, including licenses to import or export the Products.
2. Upon either Party’s request, the other Party shall promptly furnish any necessary documentation, including import certificates from the U.S. Government or any other relevant government, which is reasonably necessary to support a Party’s application for import or export authorizations issued by any relevant government.
3. If any relevant government denies, fails to grant, or revokes any import or export authorizations necessary for the performance of a Purchase Order under this Agreement, the Party who receives such notice shall immediately notify the other Party, and neither Party shall be responsible for performance or payment under this Agreement for any directly affected activities.
Import/Export Regulations. The Parties agree that they will comply with the import and export laws and regulations of the United States of America and will not export or re-export any article, product, data or information to any proscribed country listed pursuant to or under such laws and regulations.
Import/Export Regulations. Customer shall indemnify and hold FWi harmless from, and bear all expense of, complying with all foreign or domestic laws, regulations or requirements pertaining to the importation, exportation, or use of the technology provided herein. Customer shall not directly or indirectly export or re-export (including by transmission) any regulated technology to any country to which such activity is restricted by U.S. regulation or statute, without the prior written consent, if required, of the Bureau of Export Administration of the U.S. Department of Commerce.
Import/Export Regulations. Reseller agrees to comply with all U.S. export regulations, and Local import regulations, in connection with distribution of Software or Documentation or otherwise arising out of this Agreement. Unless an appropriate license, exemption or similar authorization has been duly obtained to CrossZ's satisfaction, the Reseller shall not, nor shall the Reseller authorize or permit it's employees, distributors, dealers and/or agents to, export or rexport any CrossZ products, attachments, parts, supplies or technology (including information relating thereto) to any country specified as a prohibited destination in applicable U.S. Laws, regulations and ordinances, including the regulations of the U.S. Department of Commerce and/or government agencies. Reseller agrees to defend, indemnify, and hold harmless, CrossZ from any claim, loss, liability expense or damage (Including fines or legal fees) incurred by CrossZ with respect to any of the Reseller's export or re-export activities, contrary to the foregoing instructions.
Import/Export Regulations. The parties agree to comply with all import and export requirements imposed on the Integrated Camera Product by any country or organization in whose jurisdiction either party operates or does business. ISS shall be responsible for all export permits, import certificates, insurance, duty, customs clearance charges and/or licenses and related costs for units shipped into the ISS Territory. Econolite shall be responsible for all export permits, import certificates, insurance, duty, customs clearance charges and/or licenses and related costs for units shipped into the Econolite Territory.
Import/Export Regulations. Mesh Models may be subject to the U.S. export laws and the export or im- port laws of other countries. You agree to comply strictly with all such laws and, in particular, shall with Mesh Models: (a) obtain any export, re-export, or import authorizations required by U.S. or Your local laws;
Import/Export Regulations. Stock Media Products may be subject to the U.S. export laws and the export or import laws of other countries. You agree to comply strictly with all such laws and, in particular, shall with Stock Media Products: (a) obtain any export, re-export, or import authorizations required by U.S. or Your local laws; (b) not design, develop or produce missile, chemical/biological, or nuclear weaponry; and (c) not provide Stock Media Products to prohibited countries and entities identified in the U.S. export regulations.
Import/Export Regulations. A. (Applicable for sales to Buyers and/or shipments outside the United States) Xxxxx agrees that COMET’s performance under the Contract is subject to all of the required and continuing United States (U.S.) Government approvals, clearances, regulations, and export licenses. In the event COMET is unable to obtain or maintain any required approvals, clearances and/or export or import licenses, COMET shall be excused from its obligation to provide those goods or services set forth in the Contract for which such approvals, clearances and/or export or import licenses are required. Commodities will be exported in accordance with U.S. export regulations, including but not limited to the International Traffic in Arms Regulations, the Export Administration Regulations, the regulations promulgated by the U.S. Department of Treasury and all other applicable U.S. laws and regulations (collectively, the “export regulations”). Diversion contrary to U.S. law is prohibited. The commodities may not be resold, transferred, transshipped or re- exported without prior authorization by the U.S. Government.
B. (Applicable to U.S. Buyers who intend to export shipments outside the U.S.) COMET’s hardware, software, and technical data, as defined by the U.S. Government are subject to the U.S. export regulations. Direct or indirect exportation/transfer contrary to U.S. law is prohibited. Buyer assumes all responsibility for securing commodity classifications, export licenses, shipment, and record keeping in accordance with applicable export regulations of the U.S. Government.
C. Resales and Re-Export of Products. Buyer acknowledges that: a) any commodities and/or technical data consisting of or contained in Products provided subject to these terms are of U.S. and subject to the U.S. export regulations; b) that all sales of Products hereunder are routed transactions within the meaning of the U.S. export regulations; and c) that any export or re-export thereof must be in compliance with the U.S. export regulations. Buyer agrees that it shall not export or re-export, directly or indirectly any commodities and/or technical data (or direct products thereof) ordered subject to these terms in any form to (i) destinations in Country Group E:2, as specified in Supplement No. 1 to Part 740 of the EAR as modified from time to time by the U.S. Bureau of Industry and Security, (ii) destinations that are otherwise controlled or embargoed under U.S. export regulations or (iii) entities or individual...
Import/Export Regulations. You shall, on Your own responsibility, comply with any import and export regulations applicable to the deliveries or services. Unless expressly agreed otherwise, You shall, on Your own responsibility, settle statutory or official procedures in connection with cross-border deliveries or services. 14.2.
