Individual Artist's Agreement. (a) All contracts and agreements made by the Company with Artists engaged under this Agreement shall conform in every respect to all the provisions of this Agreement and shall be executed only on the "Individual Artist's Agreement" (or IAA) form, subject to such additions thereto and modifications thereof as may be agreeable to the Artist and to AGMA, but in no event inconsistent to the Agreement or less favorable to such Artist. (b) The Company and each Artist shall execute a copy of the Artist’s Individual Artist's Agreement. A copy of the signed original shall be sent electronically to xxxxxxxxx@xxxxxxxxxxxxxx.xxx at least 30 days prior to Artist's first workday. AGMA's copy of all Individual Artist's Agreements shall be kept confidential and made available only (1) to the National Executive Director, or other official having equivalent position with AGMA, or their designee among AGMA's national officers or staff for AGMA's routine and necessary use, and (2) when a dispute arises under the contract. Company will furnish AGMA with a roster for each production which will include Artists’ contact information, at least four (4) weeks prior to the beginning of the first rehearsal, unless such information is not available at that time, in which case the Company will provide this information as soon as practicable. (c) Failure of the Company to file copies of contracts with AGMA shall constitute a breach of contract by the Company. In such a breach, the Artist may at any time, AGMA consenting, terminate the same without notice, and the Company agrees to pay forthwith to the Artist, as damages for such breach in full, for all services rendered by the Artist to the Company, plus any other amounts then owing, not already paid, the total of which being a sum equal to the total amount contracted for in the Artist's IAA for all performances or weeks of engagement, as the case may be. In no case shall any offsets be allowed to the Company for the earnings of the Artist in a new or subsequent engagement. (d) Unless otherwise stated in this Agreement, no Artist is permitted to take part in any performance, rehearsal, or other activity required by Company without first accepting a binding offer. Should AGMA request proof of such agreement, Company will provide all necessary correspondence and documentation proving the agreement.
