Instructions for Processing. 4.1. The Personal Data under this Agreement shall be Processed in order to provide Services to the Data Controller as per the Terms. The nature, purpose, subject matter and other details of Processing activities performed as part of the Services are set out in the Annex I of this Agreement.

Customer instructs Workday to Process Personal Data to provide the Covered Service in accordance with the Agreement (including this DPE) and as further specified via Customer’s use of the Covered Service. Xxxxx Xxxxx shall process Client Personal Data only to provide Xxxxx Xxxxx Services in accordance with the Agreement and this Addendum, which the parties agree serve as Client’s documented instructions. Client may provide additional instructions to Xxxxx Xxxxx to process Client Personal Data, provided that Xxxxx Xxxxx shall be obligated to perform such additional instructions only if they are consistent with the terms and scope of the Agreement and this Addendum. You hereby instruct Cloudamize to Process Personal Data to provide the Services in accordance with the Agreement (including this DPE) and any Order Form.

Customer instructs Convo to Process Personal Data to provide Services in accordance with the Agreement and this Addendum. Customer may provide additional instructions to Process Personal Data; however, Convo shall be obligated to perform such additional instructions only if they are consistent with the terms and scope of the Agreement and this Addendum. If Xxxxx believes that an additional instruction provided by Customer violates applicable Data Protection Laws, it shall inform Customer accordingly.

Customer instructs Wiley (and authorizes Wiley to instruct each Subprocessor) to (i) Process Customer Personal Data and (ii) transfer Customer Personal Data to any country or territory as reasonably necessary for the provision of the Services and in accordance with Section 11 (Restricted Transfers) below. The subject matter of and duration of Processing of Customer Personal Data, the nature and purpose of the Processing, the types of Customer Personal Data and categories of Data Subjects Processed under this DPA are further specified in Annex 1 attached hereto.
