Insurance to be Maintained by the New PC. Throughout the Term of this Agreement, the New PC shall maintain in full force and effect comprehensive professional liability insurance with limits of not less than $500,000 per occurrence and $1,000,000 annual aggregate per Xx. Xxxxxxx and each of the Orthodontists providing services for the New PC and a separate limit for the New PC. The New PC shall be responsible for all liabilities within deductibles and for all liabilities in excess of the limits of such policies. The MSO agrees to negotiate for and cause premiums to be paid on behalf of the New PC with respect to such insurance. Premiums and deductibles with respect to such policies shall not be MSO Expenses. The New PC also agrees to name the MSO and OMEGA as co-insureds. The New PC agrees to deliver to the MSO and OMEGA a certificate of insurance indicating such coverage.

Insurance to be Maintained. The Company covenants to provide and maintain, or cause to be provided and maintained, continuously, unless otherwise herein provided, adequate insurance on the Project Facilities as shall be mutually agreed upon by the Bank and the Company. Each insurance policy with respect to the Project Facilities shall name the Bank, the Authority and the Trustee as additional insureds. All policies of insurance required by this Section, copies thereof, or certificates of insurance with respect thereto shall be deposited with the Trustee.

Insurance to be Maintained by ADC. Unless otherwise determined by the Policy Council, throughout the term of this Agreement, subject to the provisions of Section 4.5 and Section 8. 1, ADC shall maintain comprehensive professional liability insurance with limits of not less than $300,000 per claim and with aggregate policy limits of not less than $600,000 per physician and a separate limit for ADC. ADC shall be responsible for all liabilities (including without limitation deductibles and excess liabilities) not paid within the limits of such policies. ProMedCo shall have the option, with Policy Council approval, of providing such professional liability insurance through an alternative program, provided such program meets the requirements of the Insurance Commissioner of the State of Texas.

Insurance to be Maintained. The Company and the Shareholders shall provide, or arrange for the provision of, and maintain throughout the Term, professional liability insurance coverage (the "Professional Liability Coverage") on the Company and each of the Company's employees and agents, including, but not limited to, all the Shareholders, the Physician Employees, Sheridan and its agents and employees, in the greater of $1,000,000.00 per occurrence and $3,000,000.00 per year aggregate for each Physician. The terms and conditions of the Professional Liability Insurance shall be acceptable to Sheridan, in its reasonable discretion. The Professional Liability Insurance shall be issued by an insurance carrier acceptable to Sheridan, in its reasonable discretion. Upon termination of this Agreement, the Company shall either procure tail coverage for Sheridan and its agents and employees or procure Professional Liability Policies for the applicable statute of limitation periods. Company shall provide to Sheridan, in a form acceptable to Sheridan, written documentation evidencing its professional liability insurance coverage and any change in that insurance shall be sent to Sheridan at least fifteen (15) days prior to its effective date. The Company and the Shareholders shall, at their sole cost and expense, pay the premium costs of all professional liability insurance coverage during the Term. The Company and the Shareholders shall also provide, or arrange for the provision of, and maintain throughout the Term, workers' compensation coverage on the Company and each of the Company's employees and agents, including, but not limited to, all the Shareholders and the Physician Employees, in at least the amount required by law. The Company shall provide to Sheridan, in a form acceptable to Sheridan, written documentation evidencing its workers' compensation insurance coverage and any change in that insurance shall be sent to Sheridan at least fifteen (15) days prior to its effective date. The Company shall, at its sole cost and expense, pay the premium costs of all workers' compensation insurance coverage during the Term. Sheridan may replace the Company's, Shareholders' and Physician Employees' professional liability insurance at any time, provided that the charge to the Company by Sheridan for the coverage obtained is equal to the current cost of the then existing entity's and the physicians' professional liability insurance, the replacement insurance has the same retroactive dates of coverage, ...
Insurance to be Maintained. Throughout the Term, both parties hereto shall maintain such insurances as are reasonably requested by the other party and, in any event, insurance in such amounts and from reputable insurers as necessary to cover their respective activities under this Agreement. Each party has consulted with its applicable insurance agency and all carriers to inform them of the relationship between the parties and has secured adequate and appropriate insurance and coordination thereof. The parties will work together with their applicable insurance agents and carriers and when appropriate and possible will have one another named as insureds on applicable policies and otherwise follow good insurance practices.
