Fountain Valley, completed a seismic retrofit and tenant improvement project in December 2021. Improvements pertaining to the services requested in this RFP include: • Remodel of the kitchen/break room to update the space to compliment the newly redesigned office; • Replacement of the atrium pergola with a similar shade structure that compliments the building design; • Refacing of the main lobby cabinetry to match the new furniture; • Replacement of the main lobby cabinet and reception desk countertops to compliment the new office furniture and remodeled kitchen. The purpose of this agreement is to assist the parent in obtaining or modifying an existing custody order to facilitate the reunification of the parent’s child(ren) and the termination of pending juvenile court proceedings. This contract is to remove an impediment to final permanency for the child (ren), who have been placed in the legal custody or supervision of the Department by a Juvenile or Family Court, when an appropriate court order is an impediment to termination of juvenile court jurisdiction. The Department will accomplish this purpose by providing payments to the attorney on behalf of the parent to cover certain costs necessary to obtain a final custody order.
Introduction and Background Information. Texas House Bill (“HB”) 1802 directs HHSC to, in collaboration with the Grantee and in partnership with a military veterans hospital or a medical center that provides medical care to veterans, conduct a study on the efficacy of using alternative therapies, including the use of MDMA, Psilocybin, and Ketamine, in the treatment of veterans who suffer from PTSD. Additionally, HB 1802 directs HHSC to collaborate with the Grantee to conduct a literature review of the safety, efficacy, and access to alternative therapies in the treatment of PTSD for veterans living with PTSD. Acceptable uses of the funds made available through this Grant Agreement include costs associated with conducting a clinical trial on the efficacy of using Psilocybin in the treatment of treatment-resistant PTSD in veterans, costs associated with the completion of a literature review for psilocybin, MHMA, and ketamine, and costs associated with the completion of required reports.

  • Background Information (A) The Adviser has entered into an Investment Adviser's Agreement with the Fund ("Investment Adviser's Agreement"). Pursuant to the Investment Adviser's Agreement, the Adviser has agreed to render investment advisory and certain other management services to all of the funds of the Fund, and the Fund has agreed to employ the Adviser to render such services and to pay to the Adviser certain fees therefore. The Investment Adviser's Agreement recognizes that the Adviser may enter into agreements with other investment advisers who will serve as fund managers to the funds.

  • Data and Information 12.1 The parties shall comply with all relevant UK and EU data protection legislation in delivering their obligations under the Agreement.

  • Access and Information The Company, on the one hand, and Parent and Acquisition Corp., on the other hand, shall each afford to the other and to the other’s accountants, counsel and other representatives full access during normal business hours throughout the period prior to the Effective Time to all of its properties, books, contracts, commitments and records (including but not limited to tax returns) and during such period, each shall furnish promptly to the other all information concerning its business, properties and personnel as such other party may reasonably request, provided that no investigation pursuant to this Section 6.01 shall affect any representations or warranties made herein. Each party shall hold, and shall cause its employees and agents to hold, in confidence all such information (other than such information that (a) is already in such party’s possession or (b) becomes generally available to the public other than as a result of a disclosure by such party or its directors, officers, managers, employees, agents or advisors or (c) becomes available to such party on a non-confidential basis from a source other than a party hereto or its advisors, provided that such source is not known by such party to be bound by a confidentiality agreement with or other obligation of secrecy to a party hereto or another party until such time as such information is otherwise publicly available; provided, however, that (i) any such information may be disclosed to such party’s directors, officers, employees and representatives of such party’s advisors who need to know such information for the purpose of evaluating the transactions contemplated hereby (it being understood that such directors, officers, employees and representatives shall be informed by such party of the confidential nature of such information), (ii) any disclosure of such information may be made as to which the party hereto furnishing such information has consented in writing and (iii) any such information may be disclosed pursuant to a judicial, administrative or governmental order or request; provided, further, that the requested party will promptly so notify the other party so that the other party may seek a protective order or appropriate remedy and/or waive compliance with this Agreement and if such protective order or other remedy is not obtained or the other party waives compliance with this provision, the requested party will furnish only that portion of such information that is legally required and will exercise its best efforts to obtain a protective order or other reliable assurance that confidential treatment will be accorded the information furnished. If this Agreement is terminated, each party will deliver to the other all documents and other materials (including copies) obtained by such party or on its behalf from the other party as a result of this Agreement or in connection herewith, whether so obtained before or after the execution hereof.

  • Progress Reports and Information When required, the Contractor shall submit to the Owner such schedule of quantities and costs, payrolls, bills, vouchers, correct copies of all subcontracts, statements, reports, correct copies of all agreements, correspondence, and written transactions with the surety on the performance bond that have any relevance to the Work, estimates, records, and other data as the Owner may request that concerns the Work performed or to be performed under this Contract. When requested by the Owner, the Contractor shall give the Owner access to its records relating to the foregoing. (See also Article 1.2.3, Audits.) The above reports shall include, but are not limited to, (a) written notice of dates by which specified Work will have been completed, (b) written notice of dates by which Non-Compliant Work will be made good, (c) written notice that Non-Compliant Work has been made good, (d) written notice as to the date or dates by which Work that has not been performed with equal steps and at the same rate required by the Overall Project Schedule shall have been brought into conformity with the Overall Project Schedule, (e) date by which any undisputed claim of a Subcontractor, Supplier, or laborer shall have been paid, (f) written advice regarding the nature and amount of any disputed claim of a Subcontractor, Supplier, or laborer, and (g) information regarding Work performed under Change Orders.

  • CONFIDENTIAL NATURE OF DOCUMENTS AND INFORMATION Information and data that is considered proprietary by either Party or that is delivered or disclosed by one Party (“Discloser”) to the other Party (“Recipient”) during the course of performance of the Contract, and that is designated as confidential (“Information”), shall be held in confidence by that Party and shall be handled as follows:

Web-based information and applications must conform to New York State Enterprise IT Policy NYS-P08-005 as determined by quality assurance testing. Such quality assurance testing will be conducted by the State Agency Authorized User and the results of such testing must be satisfactory to the Authorized User before web-based information and applications will be considered a qualified deliverable under the contract or procurement.
