Investment Duties. Subject to the supervision of the Fund’s Board of Directors (the “Board”), the Manager will provide a continuous investment program for the Fund and will determine from time to time what securities and other investments will be purchased, retained or sold by the Fund. Subject to investment policies and guidelines established by the Board, the Manager will identify, evaluate, structure and close the investments to be made by the Fund, arrange debt financing for the Fund, provide portfolio management and servicing of loans held in the Fund’s portfolio, and administer the Fund’s day-to-day affairs.

Subject to investment policies and guidelines established by the Board of Directors, the Adviser will identify, evaluate, and structure the investments to be made by the Company, arrange debt financing for the Company, provide portfolio management and servicing of securities held in the Company's portfolio, and administer the Company's day-to-day affairs.

Investment Duties. Subject to the funding policy for the Plan as communicated to the Trustee in writing by the Employer, the Trustee shall, except to the extent it deems it expedient (pending investment of Plan Assets or pending payment of current expenses or benefits of the Plan) to keep Plan Assets temporarily uninvested and in cash, invest and reinvest the principal and income of the Plan Assets and keep the Plan Assets invested, without being restricted to securities or property of the character authorized for investments by trustees under the laws of any state, district or territory, in such securities and/or in such property, real or personal, tangible or intangible, or part interest therein, wherever situate, whether or not productive of income, or consisting of wasting assets, as the Trustee shall deem advisable. The Employer shall establish and communicate to the Trustee, a funding policy which shall be consistent with the objectives of the Plan, ERISA, and other applicable legal requirements and which shall identify the Plan's short-run and long-run financial needs with respect to liquidity and growth, as the same may change from time to time.

Subject to investment policies and guidelines established by the Board of Directors, the Adviser will identify, evaluate, and structure the investments to be made by the Company, and provide portfolio oversight and servicing of securities held in the Company's portfolio.
Investment Duties. (a) The Firm shall analyze the Portfolio and provide continuous review thereof, together with all alterations thereto, as is appropriate for the purpose of investment of the Portfolio. The Firm shall evaluate such information relating to the economy, industries, businesses, securities markets and securities and consult such sub- advisors as it may deem necessary or useful in the rendering of its services hereunder.
(b) The Firm, as agent for Client, shall place orders or otherwise give instructions without prior consultations with or notification to Client for the purchase, sale, conversion, exercise or disposal of the securities or other assets of the Portfolio. It is agreed and understood that the Firm shall invest the assets of the Portfolio pursuant to the guidelines and policies established by Client and communicated in writing to the Firm. The Firm shall otherwise have complete discretion as to the nature, amount, and timing of all such transactions, subject only to the limitations set forth herein or otherwise provided by law.
(c) Client may specify in writing the broker dealers to execute the transactions directed by the Firm. In the absence of such specifications, the Firm shall employ such broker dealers as it, in its sole discretion shall decide. The Firm shall not be liable for any act or omission of any broker dealer (other than an affiliated broker dealer employed with Client’s written consent).
(d) The Firm may cause Client to pay a broker dealer who furnishes brokerage or research services a higher commission than might be charged by another broker dealer which does not provide such services or provides services reasonably deemed by the Firm to be of lesser value so long as such services directly assist the Firm in the management of the Portfolio.
(e) The authorization granted is a continuing one and shall remain in full force and effect until the Firm has received, at the Firm's offices, what it deems to be reliable written notice of the alteration, revocation or termination thereof signed by Client.
Investment Duties affairs and will determine from time-to-time what securities and other investments will be retained or sold by the Company and will provide portfolio management and servicing of the investments held in the Company's portfolio, administer the Company's day-to-day affairs, and attend to Member relations. The Members will use/make reasonable efforts not to carry any investment or incur any liability for and on behalf of the Company which would result in the realization of unrelated business taxable income.

Subject to investment policies and guidelines established by the Board, the Managers will identify, evaluate, structure and close the investments to be made by the Fund, arrange debt financing for the Fund, provide portfolio management and servicing of loans or leases held in the Fund's portfolio, and administer the Fund's day-to-day affairs. Without limiting the generality of the foregoing, it is understood that, as Investment Manager, Westech Advisors will have primary responsibility for origination and servicing of venture loans and leases and that, as Fund Manager, Siguler Guff & Company will have primary responsibility for the organization of the Fund, oversight of Fund administration and shareholder relations.
