Base Services. Provided that Tenant is not then in default, Landlord shall cause to be furnished to the Building, or as applicable, the Premises, in common with other tenants, the following services: i. Water (if available from city mains) for drinking, lavatory and toilet purposes. ii. Electricity for the building standard fluorescent lighting and for the operation of general office machines, such as electric typewriters, desk top computers, word processing equipment, dictating equipment, adding machines and calculators, and general service non-production type office copy machines; provided that Landlord shall have no obligation to provide more than four (4) wxxxx per usable square foot of electricity for convenience outlets serving the Premises. iii. Operatorless elevator service [if the Building is served by an elevator(s)]. iv. Building standard fluorescent lighting composed of 2' x 4' fixtures; Tenant shall service, replace and maintain at its own expense any incandescent fixtures, table lamps, or lighting other than the building standard fluorescent light, and any dimmers or lighting controls other than controls for the building standard fluorescent lighting. v. Heating and air conditioning for the reasonably comfortable use and occupancy of the Premises, during business hours of 8:00 A.M. to 6:00 P.M. Monday through Friday (excluding National and State holidays); provided that, heating and cooling conforming to any governmental regulation prescribing limitations thereon shall be deemed to comply with this service. Notwithstanding the foregoing, Tenant shall be solely responsible for all costs associated with the engineering, installation, operation, maintenance and repair of any supplemental HVAC unit in the Premises if required pursuant to Section 4 above or any supplemental HVAC unit that is installed and/or operated in the Premises at Tenant’s request. vi. After hours, weekend and holiday heating and air conditioning at a charge of $40.00 per hour, per zone, with a minimum of two (2) hours per occurrence. vii. Janitorial services five (5) days a week (excluding National and State holidays) after normal working hours. viii. A reasonable pro-rata share of the unreserved free parking spaces of the Building, in common with the other tenants, for use by Tenant's employees and visitors, not to exceed a maximum of four (4) spaces per 1,000 rentable square feet of the Premises. ix. General property management for the Building.

Base Services. Client shall be provided with the non-exclusive use of the Offices and shall have access to the Offices twenty-four (24) hours a day, seven (7) days a week. In exchange for the Monthly Fixed Fee for Base Services, Firm agrees to provide the following base services: office cleaning, maintenance services, office supplies, electricity, heating and air conditioning to the Offices (the “Base Services”). In addition, Client will have reasonable use of Firm common area facilities. Client shall use the Offices and auxiliary areas of the facilities solely for general office use in the conduct of the Client’s business. If for any reason whatsoever, Firm is unable to deliver possession of the Offices or a mutually agreed upon alternative office at the time herein agreed, Client may either extend the Effective Date until the Offices become available or, as its sole remedy for such failure, cancel and terminate this Agreement if the Offices are not delivered to Client within five (5) business days after written notice to Firm by Client, in which case any prior payments shall be fully refunded. No such failure to deliver possession shall subject Firm to any liability for loss or damage, nor affect the validity of this Agreement or the obligations of the Client hereunder. In order to accommodate the needs of potential multiple office clients, Firm will have the right, upon ten (10) days’ written notice, to relocate Client to other offices in the Building and to substitute such other offices for the Offices contracted herein, provided such other offices are substantially similar in area and configuration to Client’s contracted offices and provided Client shall incur no increase in the total monthly fee or any relocation cost or expense.
Base Services. Provided that Tenant is not then in default beyond applicable periods of notice and cure, Landlord shall cause to be furnished to the Building, or as applicable, the Premises, in common with other tenants the following services: (i) Water (if available from city mains) for drinking, lavatory and toilet purposes and interior sprinkler systems. (ii) Electricity (if available from the utility supplier) for the building standard fluorescent lighting and for the operation of general office machines, such as electric typewriters, desk top computers, dictating equipment, adding machines and calculators, and general service non production type office copy machines; provided that Landlord shall have no obligation to provide more than the amount of power for convenience outlets and lighting as set forth in Section li. Landlord will provide emergency back-up power throughout the second floor and in the Tenant’s IS/Communications room as long at it remains on the second floor. The existing electrical systems are designed to provide approximately 3 xxxxx/ft of 120 volt AC power to each floor area. Lighting is supplied separate via the 277 volt AC system. Each floor has a bulk lighting and power capacity of approximately 10 xxxxx/ft based on the existing bus risers and the emergency distribution on the second floor. This is independent of the heating and cooling systems serving these areas. Additional bulk capacity is available at the main switchboard but would require new devices and/or reconfigurations to access as well as feeder distribution to points of utilization. Exact capacity would require verification of total building existing load verses service size. Electrical power is provided by TVA through Middle Tennessee Electric Co-op. The building is connected to two substations by means of an automatic transfer switch. In the event of loss of power from the primary substation, the switch automatically transfers to the secondary substation within approximately 3 seconds. The existing building generators provide emergency power to all life safety lighting and security needs, as well as emergency back up power to the elevators and to the 2nd floor of each individual building including all electrical circuits, lighting and HVAC. The Data Center will be separately metered for electricity at Tenant’s sole cost, subject to review and approval of plans and specifications by Landlord, which shall not be unreasonably withheld.
