Issue of Invoices. (a) If Schedule 4 sets out a timetable for payment of the Fees or specifies payment milestones, PRIME may invoice the Customer for the Fees at the times specified in that timetable or upon the achievement of the specified payment milestones. (b) Subject to clause 13.2(a), if Schedule 4 specifies Fees for a particular Service, PRIME may invoice the Customer for the Fees when PRIME has completed the performance of that Service. (c) If Schedule 4 does not do any of the things described in clauses 13.2(a) or (b), PRIME may invoice the Customer for the Fees monthly in advance.

Issue of Invoices. Fujifilm shall issue invoices for the sums set out in the Program Price and Payment Schedule set forth in each Scope of Work and Clauses 3.4, 3.5, 3.6, and 3.6 as such sums fall due and aTyr shall pay Fujifilm’s invoice(s) within [***] calendar days of the date of the relevant invoice unless aTyr in good faith disputes the amounts due under such invoice, in which case such the disputed portion of the invoice shall not be due until [***] days after resolution of such dispute. Payment shall be made in US Dollars without deduction, set-off, lien or counterclaim of any nature. Late payments are subject to an interest charge of [***] per month. Unless within [***] days of the date of invoice, aTyr has advised Fujifilm in good faith and in writing the specific basis for disputing an invoice, failure to pay an invoice within [***] days from the date of invoice may, at Fujifilm’s election, constitute a material breach of this Agreement. In addition to all other remedies available to Fujifilm, in the event of an aTyr default, if aTyr fails to make payments as required hereunder, Fujifilm may refuse to carry out further work and/or suspend deliveries of Product or provision of reports until aTyr makes payment and/or provides assurance of further or future payment reasonably satisfactory to Fujifilm.

(b) If the total statement amount specified in a statement given by the Project Manager under clauses 13.2 or 13.4 is a negative amount, at the time of giving the Trustee the statement, the Project Manager must also give the Trustee a RCTI for the total statement amount of the statement (disregarding the negative sign).

Issue of Invoices. (a) PPP Co. shall issue a valid VAT Invoice within the time limit set out by Law. (b) In each valid VAT Invoice issued by PPP Co., details of the components of the consideration and/or Unitary Charge in respect of the separate elements being supplied by PPP Co. will be separately identified in accordance with Appendix I (Pro Forma Invoice) of Schedule 15 (Payment Mechanism) and in the case of each component, the valid VAT Invoice issued must indicate: (i) the consideration and/or monthly amount of the Unitary Charge previously invoiced; (ii) the consideration and/or monthly amount of the Unitary Charge which is exempt from VAT; (iii) the consideration and/or monthly amount of the Unitary Charge which is liable to VAT arising from such valid VAT Invoice and upon which the Authority is liable to account for VAT, together with an indication of the amount of VAT arising thereon; and (iv) the consideration and/or monthly amount of the Unitary Charge, which is liable to VAT arising from such valid VAT Invoice and upon which PPP Co. is liable to account for VAT, together with the amount of VAT arising thereon. (c) PPP Co. will, if so requested by the Authority, furnish such information as may be reasonably required by the Authority as to the amount of VAT chargeable in respect of any supply made under this Project Agreement.
Issue of Invoices. Unless otherwise specified in a Project Plan, Avecia shall issue invoices for the sums set out in the applicable Project Plan as such sums fall due and PharmAthene shall pay such sums within 30 calendar days of the date of receipt of the relevant invoice, unless stated otherwise in the applicable Project Plan. Interest shall become due on late payments at an annual rate of 2% above the base lending rate of the bank referred to in Section 2.8 below, from the date on which payment falls due until the date of payment.

Issue of Invoices. Avecia shall issue monthly invoices for authorized work completed during such time period and for sums arising under Clause 3.3 as such sums fall due, including with such invoices appropriate documentation for pass-through costs described in Clause 3.2. Stressgen shall pay such sums within 30 days of the date of Stressgen’s receipt of the relevant invoice.
Issue of Invoices. PCT shall invoice CBAI for any additional costs and charges PCT incurs under this Agreement other than the Program Charges, including, but not necessarily limited to, those items set forth in section 3.8. PCT shall issue invoices described in this section as sums for such costs incurred become due and CBAI shall pay such sums within thirty (30) calendar days after the date CBAI receives the relevant invoice. Any amount not paid by CBAI to PCT when due shall accrue interest at the Default Rate until paid in full.

Interest shall become due on late payments at a rate of 1.5% per month (compounded monthly) until the date of payment. In addition to all other remedies available to Fujifilm in the event of a Dyax default, if Dyax fails to make payments as required hereunder, Fujifilm may suspend manufacture and/or delivery of Bulk Drug Substance until such payments are made in full.
