IXC. An inter-exchange carrier; a telephone company that provides long-distance telephone service between LATA's but not within any one LATA.
IXC. Monthly recurring IXC Charges for Private Line Service are determined by multiplying the unit price, representing the charge for one Voice Grade Equivalent Circuit over one vertical and horizontal mile or route mile, by the number of Voice Grade Equivalent Circuits constituting the Circuit ordered, as such appear in the pricing matrix attached to this Schedule 1.
IXC. IXC. IXC rates are determined by reference to Exhibit 1 hereto and will be set forth on the Service Order.
IXC. LD, a wholly owned subsidiary of IXC, desires to acquire all of the capital stock of LD Services by consummating the following transactions in the following order: (i) first, IXC shall cause Acquisition Corp., a wholly owned subsidiary of IXC, to be merged with and into LD Services (the "Merger") in accordance with this Agreement, such that after the Merger, LD Services shall be the surviving corporation and a wholly owned subsidiary, and Acquisition Corp. shall cease to exist; and (ii) second, immediately following the completion of the Merger, IXC shall contribute all of the capital stock of LD Services to IXC-LD.
IXC. LD shall have obtained fully executed original counterparts of the employment agreements to be entered into between LD Services and each of the Key Employees in the form of Exhibit B attached hereto (the "Employment Agreements").
IXC. DS-3, OC-3 and OC-12 On-Net Private Line Services shall be provided at the following rates: DS-3: [***] per DS-0 V & H mile per month OC-3: [***] per DS-0 V & H mile per month OC-12: [***] per DS-0 V & H mile per month Notwithstanding the foregoing, the minimum monthly charges for Private Line Service shall be as follows: Minimum Monthly Charges DS-3 [***] OC-3 [***] OC-12 [***] OC-48 [***] All other IXC rates will be determined on an individual case basis and will be set forth on the Service Order."
IXC. DS-1 Sub-Rate Maintenance Charges will apply when DS-1 IXC is connected to multiple DS-0 level (VF or DDS) Local Access channels either through WorldCom DCS or through LAP provided D4 Channel Banks. DS-1 Sub-Rate Maintenance Charges will also apply when WorldCom DCS equipment is used to Drop & Insert channels between DS-1 IXC's and WorldCom is responsible for testing and maintaining individual DS-0 channels within a DS-1 IXC. Charges: Pricing for DS-3 and DS-1 Sub-Rate Maintenance are applied per sub-rate Local Access channel or IXC and with a maximum charge per DCS or X00 XXX. Where M13 or DCS connections are to be made between different Service provided to two different WorldCom Customers, the customer ordering the connection(s) will be charged by WorldCom for the applicable Sub-Rate Maintenance.
IXC. DS-1 Sub-Rate Maintenance Charges will apply when DS-1 IXC is connected to multiple DS-0 level (VF or DDS) Local Access channels either through WilTel DCS or through LAP provided D4 Channel Banks. DS-1 Sub-Rate Maintenance Charges will also apply when WilTel DCS equipment is used to Drop & Insert channels between DS-1 IXC's and WilTel is responsible for testing and maintaining individual DS-0 channels within a DS-1 IXC.
