Key Service Lines. The parties acknowledge and agree that the clinical service lines to be identified in the AAA (“Key Service Lines”) are critical not only to comprehensive patient care, but also to the AMC’s mission of providing robust medical education and clinical research experiences. LSU and UMCMC agree that, subject to the good- faith determination by the UMCMC Board of Directors and consistent with the mi ssion of UMCMC, the Hospital will offer a baseline of services in the Key Service Lines at least at the level provided at the Interim Facility on the Commencement Date as agreed upon by UMCMC and LSU (“Key Service Baseline”), and will work collaboratively with LSU, Tulane and other academic partners within the AMC to grow the Key Service Lines above the Key Service Baseline with a financially sustainable payer mix in the New Facility. UMCMC may in its sole discretion, limit or reduce the provision of one or more Key Service Lines if its Board of Directors determines in its sole discretion that the continued provision of such services will materially and adversely impact UMCMC or its subsidiaries or affiliates (hereinafter referred to as a “Key Service Line Adjustment”), provided, however, that UMCMC shall not reduce any Key Service Line below the minimum requirement necessary to maintain a GME Program that is based on such Key Service Line. Further, the Parties agree that the foregoing proviso shall not impact LCMC’s withdrawal rights under Section 16.2(f) hereof. In the event UMCMC makes a determination that the continued provision of such services will materially and adversely impact UMCMC or its subsidiaries or affiliates, it will provide advance written notice to LSU of its intention to make a Key Service Line Adjustment, which shall include a description of UMCMC’s basis for the same (a “UMCMC Key Service Line Adjustment Notice”). LSU may, within ten (10) days of a UMCMC Key Service Line Adjustment Notice, request to meet with UMCMC regarding UMCMC’s determination to make a Key Service Line Adjustment (a “LSU Line Request, LSU and UMCMC shall work together in good faith for a period of thirty (30) calendar days in an effort to develop an effective means of maintaining the provision of those services to be limited or reduced by UMCMC as described in the UMCMC Key Service Line Adjustment Notice. LSU and BRFHH agree that, subject to BRFHH’s receipt of the Required Funding and the terms and conditions of the MAA, the Hospitals will offer a baseline of services in the Key Service Lines at least at the level provided at the Hospitals on the Execution Date as agreed upon by BRFHH and LSU (the “Key Service Baseline”), and will work collaboratively with LSU to grow the Key Service Lines above the Key Service Baseline with a financially sustainable payer. Subject to receipt of the Required Funding and the terms and conditions of the MAA, BRFHH will not eliminate or substantially reduce a Key Service Line below the Key Service Baseline.‌

LSU and BRFHH will collaborate to grow the Hospitals’ telemedicine program, provided that a sustainable business model can be created and receipt of the Required Funding, to serve patients in remote locations and fulfill the Hospitals’ role as a regional referral center within the AMC.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.

  • Extra Services District-authorized services outside of the scope in Exhibit “A” or District-authorized reimbursables not included in Architect’s Fee.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs.   • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

  • Web Services Our Web Services are designed to enable you to easily establish a presence on the Internet. Our Web Hosting and Design is composed of our Web Hosting and Design Publishing Component and other miscellaneous components. These components may be used independently or in conjunction with each other.

  • Personal Services No employee shall be required to perform services of a personal nature.

  • Provider Services Charges for the following Services when ordered by a Physician for the treatment of an Injury or Illness.
