LEGAL CONFORMITY.
1.1. If any part of this agreement is in conflict with any existing Federal, State or Local laws, only that portion of the agreement shall be void.
1.2. The parties to this agreement acknowledge that they are subject to State and Federal laws regarding equal opportunity and fair employment practices and shall comply with these laws and agree that the referral and employment of all Employees shall be without regard to race, age, color, sex, religion, national origin, ancestry, or disability.
LEGAL CONFORMITY. Publisher will comply in all material respects with all applicable laws, statutes and regulations in distributing the Developed Titles and in performing its duties under this Agreement.
LEGAL CONFORMITY. Red Mile will comply in all material respects with all applicable laws, statutes and regulations in performing its duties under the Agreement.
LEGAL CONFORMITY. Section 1. It is the intent of both parties to this Agreement to comply fully with all applicable State and Federal laws and with all applicable Presidential Executive Orders. If it is found by a court of competent jurisdiction that any section(s) of this Agreement is(are) in violation thereof, then such section(s) shall be void. However, all other sections and articles of this Agreement shall remain in full force and effect. Both parties agree to meet and renegotiate such section(s) to conform to the law or Presidential Executive Order, and any deadlock in such negotiations may be submitted to arbitration.
LEGAL CONFORMITY. Should any clause of this master contract be declared illegal, said article or clause may be deleted from this contract to the extent that it violates the law, but remaining articles and clauses shall remain in effect.
LEGAL CONFORMITY. A. It is the intention and desire of both the COMPANY and the UNION to conform to all laws of the State and Federal government and orders issued by the President of the United States.
B. It is intended that such laws or regulations which now exist or may later be enacted or issued shall supersede the requirements of this Agreement while they are in effect, and upon expiration of such laws and regulations, provisions of the Agreement which have been modified shall come into full force and effect.
18.02 It is agreed by the parties that in the employment practices of the COMPANY and in the membership and practices of the UNION, there shall be no discrimination against any person on the basis of race, color, sex, age, religion, creed, national origin, marital status, sexual orientation, disability, veteran's status, or any other protected category.
LEGAL CONFORMITY. It is the intent of the Contractor and the Union, parties of this Agreement, to comply with all State and Federal Laws: any provisions of this Agreement in conflict with any State or Federal Law shall be void. All other provisions and articles of this Agreement shall remain in full force and effect. This agreement and each and every provision thereof will terminate on the day proceeding HR 281 or any other xxxx containing the same or similar provisions as HR 281 becoming effective. However, all project(s) under contract and covered by the agreement will proceed under the terms and conditions of the agreement and be referenced to as project agreements which will terminate at the conclusion of the project(s) except that in the event a new agreement is finalized by the signatories, then any and all provisions of the new agreement shall become effective in lieu of the referenced project agreements. This provision shall terminate at the expiration date of this agreement.
LEGAL CONFORMITY. 9.1. The Buyer shall comply with all applicable treaties and laws, including but not limited to laws against acceptance of gifts and bribery such as the 2010 Bribery Act of the United Kingdom, export control and customs regulations such as (i) regulations concerning embargoed countries, (ii) restrictions on the sale of Products to customers subject to restrictions or prohibitions and (iii) regulations governing the control of the export, transfer, brokering and transit of dual-use goods. The Buyer will not pass on, sell, transport or otherwise transfer the products purchased by IMCD directly or indirectly to or via a country, legal entity or natural person for use against which a prohibition exists according to national or international regulations.
9.2. The Buyer shall comply with all obligations that may be imposed on it under REACH and shall promptly provide IMCD with all information that may be necessary for IMCD to comply with REACH. The Buyer shall reimburse IMCD for all costs and expenses incurred by IMCD in connection with the obligations under REACH due to the intended use of the products by the Buyer. All information and data provided by IMCD about the substances contained in the products are strictly confidential and may only be disclosed by the Buyer if required by REACH.
9.3. Without prejudice to the other provisions of this Article 9, the Buyer shall comply with all applicable laws and regulations in fulfilling its obligations under the Contract in accordance with the IMCD Code of Conduct. The Buyer confirms that he has read and agrees to the IMCD Code of Conduct. The IMCD Code of Conduct is available at the following website: xxx.XXXXxxxxx.xxx.
9.4. The Buyer shall ensure that the obligations under this Article 9 are transferred to third parties to whom IMCD products are supplied, whether in their original form or as an intermediate or end product, and that all third parties in the supply chain up to the end user are subject to the same legal compliance obligations.
9.5. The Buyer undertakes to indemnify and hold IMCD, its officers, employees, agents and representatives harmless from and against all claims, damages, liabilities, penalties, costs and expenses, including reasonable costs of legal representation, arising out of any claims, actions, suits, proceedings, demands, judgments or settlements arising out of the Buyer's failure to comply with the provisions of this Article 9.
LEGAL CONFORMITY. In particular, Art. 28 paras. 2, 3 and 4 GDPR as well as the references set forth therein shall be observed.
LEGAL CONFORMITY. Medsteps shall ensure that all legal requirements in accordance with Swiss law regarding the running of the PORTAL are met. The legal conformity of the PORTAL with the legal systems of other countries shall not be guaranteed by Medsteps. The Member must inform Medsteps immediately of any possible statutory breaches according to the law of other countries currently in force, where the Member is aware of them or must be aware of them. The Member shall not be entitled to make changes to the contents of the PORTAL and/or copy or use in any other way the PORTAL or its contents in full or in part.
