LESSEE'S RIGHT OF QUIET ENJOYMENT. Each party to this Agreement acknowledges notice of, and consents in all respects to, the terms of the Lease, and expressly, severally and as to its own actions only, agrees that it shall not take or cause to be taken any action contrary to the Lessee's rights under the Lease, including, without limitation, the right to possession, use and quiet enjoyment (i) by the Lessee of the Equipment, so long as no Lease Event of Default has occurred and is continuing, or (ii) to the extent required under the applicable Sublease or Pledged Equipment Lease or under any applicable consent referred to in Section 4.1(cc) by any Sublessee of the Equipment or by any Pledged Equipment Lessee of the Pledged Equipment.
LESSEE'S RIGHT OF QUIET ENJOYMENT. Each party to this Agreement acknowledges notice of, and consents in all respects to, the terms of the Lease, and expressly, severally and as to its own actions only, agrees that, so long as no Lease Event of Default has occurred and is continuing, it shall not take or cause to be taken any action contrary to the Lessee's rights under the Lease, including, without limitation, the right to possession, use and quiet enjoyment by the Lessee of the Equipment, or by any Sublessee of the Equipment or by any Pledged Equipment Lessee of the Pledged Equipment.
LESSEE'S RIGHT OF QUIET ENJOYMENT. Each party to this Agreement acknowledges notice of, and consents in all respects to, the terms of the Lease, and expressly, severally and as to its own actions only, agrees that, so long as no Lease Event of Default has occurred and is continuing, it shall not take or cause to be taken any action contrary to Lessee’s rights under the Lease, including, without limitation, the right to possession, use and quiet enjoyment by Lessee or any permitted sublessee.
LESSEE'S RIGHT OF QUIET ENJOYMENT. Notwithstanding any of the provisions of this Indenture to the contrary, so long as Lessee is in compliance with its obligations under the Lease (including applicable grace periods) and no Lease Event of Default has occurred and is continuing unremedied, the Indenture Trustee will comply with Section 8 of the Participation Agreement to the same extent as if it were the Lessor under the Lease. Each holder of an Equipment Note, by its acceptance thereof, consents in all respects to the terms of the Lease and the Participation Agreement and agrees to the provisions of this Section 6.10.
LESSEE'S RIGHT OF QUIET ENJOYMENT. Notwithstanding anything contained herein to the contrary, the provisions of Section 4.1 of the Lease shall be applicable to the Participants and Administrative Agent under this Participation Agreement and each Participant and Administrative Agent hereby agrees to be bound by the provisions of such Section 4.1 of the Lease and to recognize the Lessee’s rights to purchase the Leased Property as set forth in the Lease.
LESSEE'S RIGHT OF QUIET ENJOYMENT. Notwithstanding any of the provisions of this Indenture to the contrary, so long as no Event of Default has occurred and is continuing unremedied, the Indenture Trustee will comply with Section 4(b) of the Lease to the same extent as if it were the Lessor under the Lease. Each Holder, by its acceptance thereof, consents in all respects to the terms of the Lease and agrees to the provisions of this Section 15.14. The Indenture Trustee acknowledges that any right it may have to possess, use, operate, store, lease, control, manage, sell, dispose of or otherwise deal with the Aircraft or any other property in which Lessee has any interest pursuant to the Lease is derivative of the rights of the Owner Trustee under the Lease and subject to the agreement of the Owner Trustee under Section 4(b) of the Lease as referred to in the second preceding sentence herein. * * *
LESSEE'S RIGHT OF QUIET ENJOYMENT. Each party to this Agreement acknowledges notice of, and consents in all respects to, the terms of the Facility Lease, the Site Lease and the Site Sublease and expressly, severally and as to its own actions only, agrees that, so long as no Lease Event of Default has occurred and is continuing and neither the Lessor nor the Indenture Trustee (as assignee of the Lessor) has commenced the exercise of remedies under the Facility Lease that it may have therein as a result thereof, it shall not take or cause to be taken any action or direct that any action be taken that would interfere with or interrupt the quiet enjoyment of the use, operation and possession by the Lessee of its rights and interests in the Undivided Interest or the Ground Interest subject to the terms of the Facility Lease and the Site Sublease.
LESSEE'S RIGHT OF QUIET ENJOYMENT. So long as no Lease Event of Default has occurred and is continuing, Lessor shall not take, or cause to be taken, any action contrary to Lessee's rights under this Lease, including, without limitation, the right to possession and use by Lessee or any permitted sublessee of the Equipment.
LESSEE'S RIGHT OF QUIET ENJOYMENT. The Ground Lessor warrants that it owns good, record and marketable title to the Facility Site subject only to the Permitted Encumbrances and that it has full right and authority to convey, grant and assign the rights relating to the Ground Interest conveyed, granted and assigned to the Ground Lessee pursuant to the terms of this Site Lease and agrees that, notwithstanding any provision of any other Operative Document, so long as the Site Lease Term has not been terminated pursuant to the express provisions of Section 2.8 hereof, neither the Ground Lessor nor any Person claiming by, through or under the Ground Lessor shall, through its or their own actions or inactions, interfere with or interrupt the quiet enjoyment of the use, operation and possession by the Ground Lessee of the leasehold interest in the Ground Interest subject to the terms hereof. The Ground Lessee acknowledges that, as of the Closing Date, the Ground Lessor does not own an undivided 35% tenant-in-common interest in the Jointly Owned Facilities (as defined in the Interconnection Agreement).
LESSEE'S RIGHT OF QUIET ENJOYMENT. Each party to this Agreement acknowledges notice of the Project Lease, the Power Plant Sublease and Sublease of Power Plant Sublease and expressly, severally and as to its own actions only, agrees that, notwithstanding any provision of any other Operative Document, so long as no Lease Event of Default shall have occurred and be continuing, it shall not interfere with or interrupt the quiet enjoyment of the use, operation and possession by the Lessee of the Project in accordance with the terms of the Project Lease.
