Lessor's Cooperation. The Lessor, at the Lessee's sole cost and expense, shall execute and deliver to the Lessee such authorizations and other documents as may reasonably be required in any such contest, so long as the same does not expose the Lessor to any civil or criminal liability, and, if reasonably requested by the Lessee or if the Lessor so desires, the Lessor shall join as a party therein.
Lessor's Cooperation. Unless an Event of Default shall exist hereunder or Lessee shall not be diligently performing its obligations under subsections (b) and (c) above, Lessor agrees to cooperate with Lessee in connection with (i) any claim Lessor and/or Lessee may have against any third party for the cost of any remediation conducted or to be conducted on, in and under the Premises or with respect to any damage caused to the Premises, and (ii) any insurance covering such remediation and/or damage to the Premises. Lessor hereby assigns to Lessee any and all rights, claims or causes of action Lessor may have with against such third party or in connection with such insurance to the extent of any sums paid by Lessee in fulfillment of its obligations under subsections (b) and (c) above except to the extent that such rights, claims, causes of action or insurance proceeds are necessary to fully compensate Lessor with respect to any such remediation or damage to the Premises. Lessee agrees to pay all Lessor's out-of-pocket costs incurred by Lessor in connection with such cooperation.
Lessor's Cooperation. During the Option Period and the Lease Term, Lessor shall: (i) cooperate with Lessee in its efforts to perform its Due Diligence Investigation and to obtain all of the Approvals, including all appeals; and (ii) take no action that would adversely affect the Leased Premises. Lessor acknowledges that Lessee’s ability to use the Leased Premises is contingent upon Lessee obtaining and maintaining the Approvals. Lessor understands that any such application and/or the satisfaction of any requirements thereof may require Lessor’s cooperation, which Lessor hereby agrees to provide. Lessor shall not “knowingly” do or permit anything that will interfere with or negate any Approvals pertaining to the Improvements or Leased Premises or cause them to be in nonconformance with applicable local, state or federal laws. Lessor agrees to execute such documents as may be necessary to obtain and thereafter maintain the Approvals, and agrees to be named as the applicant for said Approvals.
Lessor's Cooperation. During the Option Period and the Lease Term, Lessor shall: (i) cooperate with Lessee in its efforts to perform its Due Diligence Investigation and to obtain all of the Approvals, including all appeals; and (ii) take no Site Number: NH-5080 Site Name: Bedford 2 DRAFT action that would adversely affect the Leased Premises. Lessor acknowledges that Lessee’s ability to use the Leased Premises is contingent upon Lessee obtaining and maintaining the Approvals. Additionally, Lessor grants to Lessee and its employees, representatives, agents, and consultants a limited power of attorney to prepare, execute, submit, file and present on behalf of Lessor building, permitting, zoning or land-use applications with the appropriate local, state and/or federal agencies necessary to obtain land use changes, special exceptions, zoning variances, conditional use permits, special use permits, administrative permits, construction permits, operation permits and/or building permits. Lessor understands that any such application and/or the satisfaction of any requirements thereof may require Lessor’s cooperation, which Lessor hereby agrees to provide. Lessor shall not “knowingly” do or permit anything that will interfere with or negate any Approvals pertaining to the Improvements or Leased Premises or cause them to be in nonconformance with applicable local, state or federal laws. Lessor agrees to execute such documents as may be necessary to obtain and thereafter maintain the Approvals, and agrees to be named as the applicant for said Approvals. Notwithstanding the foregoing, Lessee acknowledges that Lessor is a municipality and the local land use boards that will be responsible for considering Lessee’s Approval application(s) exercise independent authority separate and apart from Lessor.
Lessor's Cooperation. If requested by Lessee, Lessor will execute, at Lessee’s sole cost and expense, all documents required by any governmental authority in connection with any development of, or construction on, the Premises, including documents necessary to petition the appropriate public bodies for certificates, permits, licenses and other approvals deemed necessary by Lessee in Lessee’s absolute discretion to utilize the Premises for the purpose of constructing, maintaining and operating communications facilities, including without limitation, tower structures, antenna support structures, cabinets, meter boards, buildings, antennas, cables, equipment and uses incidental thereto. Lessor agrees to be named applicant if requested by Lessee. Lessor shall be entitled to no further consideration with respect to any of the foregoing matters.
Lessor's Cooperation. Lessor shall, at Lessee’s expense, cooperate fully with Lessee in connection with any such test, challenge, appeal or proceeding described in Section 10.1(a) and any application or other request for any permit, variance, waiver, amendment, modification, rescission, moratorium, termination, extension, forbearance or similar action described in Section 10.1(b). Lessor will join in any such test, challenge, appeal or proceeding, or application or other request, as Lessee may request or, at Lessee’s option, permit the same to be brought in Lessor’s name.

If any provision of law, act, rule, code, regulation, ordinance or other provision of any State, Municipal or other Governmental Department, Board, Bureau or Agency having jurisdiction over the Premises or any of the appurtenances thereunto belonging shall require that the owner of the Premises join in, consent to or institute any action, proceeding or application with respect to the exercise by Lessee of any right, not in violation of the terms of this Lease, for the enjoyment and use of the Premises or of any buildings or improvements now or hereafter thereon, or the appurtenances thereunto belonging. Lessor agrees, to the extent that same is reasonable, free of expense to Lessor, to give Lessor’s consent thereto and Lessee may institute such actions or proceedings and make such applications as shall be requisite for Lessee’s enjoyment and use of the Premises, and the appurtenances thereunto belonging. Lessee agrees that Lessor shall not ultimately be subjected to any liability for the payment of any cost or expense in connection with any such action, proceeding or application; and Lessee will indemnify and hold Lessor harmless from all such costs and expenses. All actions and proceedings shall be construed, all applications shall be made, and all instruments and documents required shall be prepared, by Lessee’s attorney at Lessee’s expense.
