Licensee Fees. In consideration for the rights granted in the Content Provider Content, Licensee hereby agreed to pay Content Provider the amounts set forth on Exhibit B of this Agreement. All amounts payable shall be due be due thirty days after the receipt of Content Provider's invoice.
Licensee Fees. Licensee agrees to pay the Annual License Fee within thirty (30) days of the Effective Date. During the Term, Licensee shall pay the Annual License Fee each year on or before the anniversary of the Effective Date of this Agreement.
Licensee Fees. In consideration of the License granted by the Licensor herein, the Licensee shall pay the Licensor One Million Dollars ($1,000,000) (the “License Fee”). Payment of the License Fee will be as follows: (i) Licensee shall pay a portion of the License Fee equal to Fifty Percent (50%) of the Licensee’s earnings before interest, tax, depreciation and amortization (as determined by generally accepted accounting principles) every year until the entire License Fee is paid in full; and (ii) notwithstanding Section 3.1(i), Licensee will be required to pay the unpaid balance of the License Fee, to the extent that it is able, once Licensee has received in excess of Fifteen Million Dollars ($15,000,000) in equity financing by paying each dollar in excess of the Fifteen Million Dollars ($15,000,000) in equity financing towards satisfying the License Fee; and (iii) this Section is to be read in conjunction with Section 3.4 regarding Contract Engineering Fees. All payments under this Section shall be deemed non-refundable.
Licensee Fees. In consideration of the license granted by the Licensor of the Licensed Software by the Licensor under Section 2 above, the Licensee shall pay the Licensor a one time Software license fee of Two Million U.S. Dollars (US$2,000,000.00) (the “License Fee”).
Licensee Fees. Upon execution of this Agreement, Licensee shall pay to Xxxxxx Xxxxxxx a license fee at a rate of .03% per annum of the aggregate average daily net assets of Licensee calculated and paid monthly in arrears with respect to an unlimited number of Products issued by Licensee on each of the Indices listed in Exhibit A.
Licensee Fees. In exchange for the License granted by the Licensor to the Licensee hereunder, the Licensee shall pay to the Licensor a license fee calculated in accordance with the prices set out in Exhibit C attached to this Agreement (the “License Fee”). The parties acknowledge and agree that the License Fees shall be paid as follows:
(a) Licensor acknowledges that Licensee is pursuing a series of financings to build up its business and delivery of services based on the Software and therefore the Licensor agrees that it shall grant to Licensee the first 400,000 monthly subscription per camera licenses to the Software at a price of USD $5 per camera/license (for a total of USD $2,000,000) (the “Deferred Payment”) on a deferred payment basis. Licensee’s obligation to pay said Licensee Fees under this Agreement shall be postponed until such time as the Licensee has: (i) successfully raised a minimum of USD $15,000,000, or such other amount as agreed between the parties in writing, in financing through up to three seed financing rounds (the “Threshold”), or (ii) used or provided services or sublicenses to at least 16,666 end-user cameras in one month. Licensor will issue a pro forma invoice to Licensee for the Deferred Payment amounts, and Licensee shall accept such pro forma invoice but will have: (x) up to twenty-four (24) months of achieving the Threshold, and provided that this Agreement is still in full force and effect and all of the licenses to the Software have been granted by the Licensor to the Licensee (irrespective of whether the Licensee has used or is actually using all of the licenses to the Software), to pay to the Licensor the Deferred Payment, or (y) net thirty (30) days once Licensee has issued an invoice for to at least 16,666 end-user cameras in one month, in which case the amount of such invoice shall be deducted from the Deferred Payment once paid; and
(b) At all times following the Threshold, the Licensee shall pay the License Fee to the Licensor on a monthly basis on net thirty (30) day payment terms from the date that Licensee receives Licensor’s invoice, calculated based on the number of Licenses deployed by the Licensee in the previous month.
Licensee Fees. In consideration of the licenses and other rights granted to Licensee herein, Licensee shall pay to Axys a one-time, non-refundable license fee of Two Million Dollars ($2,000,000) immediately upon the execution of this Agreement.
Licensee Fees. Licensee fees for the use of the Premises are as follows and are payable upon signing of this agreement at least 90 days in advance of event. Licensee Fees. Licensee fees shall be payable as follows:
A. A refundable damage deposit of $500.00 plus all fees listed on page one of this agreement are due upon signing of this agreement. All agreements must be signed and paid for at least 90 days in advance of event date.
B. Any additional fees, including hourly charges for equipment, additional labor, and any damages will be billed to the Licensee within seven (7) business days following the scheduled event. Payment must be made to County within fourteen (14) days following the scheduled event. Any payments made by check that are returned because of insufficient funds shall be subject to an additional fee of $25.00 per redeposit.
Licensee Fees. Licensee agrees to pay any applicable fees owed under this Agreement, as set forth in Exhibit B (the “Fees”). Fees will be invoiced as specified below and as set out in the Dinari TOS. If Licensee fails to make payment by the due date, Xxxxxx will have the right to charge interest at the maximum rate permitted by applicable law until Licensee pays all amounts due and seek all costs associated with the collection of such fees from Licensee.
