Long Range Forecast in coordination with IMFT's **** business plan, Intel will provide Micron with a forecast for its Minimum Commitment for the lesser of **** or 101243720.3 the remaining duration of the Term. Micron will provide feedback on those forecasts within a commercially reasonable period of time (or within a time period mutually agreed by the Parties from time-to-time) following IMFT's **** business plan review.
Long Range Forecast. [***], in coordination with IMFT’s [***] business plan, Intel will provide Micron with a written demand forecast of Qualified Probed Wafers it anticipates purchasing for the remaining duration of the Term (“Long Range Demand Forecast”). Micron will provide feedback within a commercially reasonable period of time (or within a time period mutually agreed by the Parties from time-to-time) following IMFT’s [***] business plan review. Such Long Range Demand Forecast and Micron’s feedback are provided for informational purposes only and not binding on either Party.
Long Range Forecast. For capacity planning purposes, Hospira shall also provide Abbott with a three (3) year non-binding forecast prior to January 1st of each year during the term of this Agreement.
Long Range Forecast. At least [***] before the first market supply is intended, Customer will provide a good faith rolling forecast covering [***], which Customer will update quarterly, specifying the Product, the ordered quantity and the expected delivery dates (“Long Range Forecast”). If Xxxxxxxxxx does not object within [***] after the receipt of the initial Long Range Forecast and each subsequent quarterly Long Range Forecast, the Long Range Forecast shall be deemed accepted, and following the date upon which the Initial Technology Transfer is completed, (a) the first [***] of each Long Range Forecast shall become binding for both Parties as to the aggregate quantity of Product for which Purchase Orders must be placed during [***] (the “Binding Forecast”), and the second [***] of each Long Range Forecast shall be non-binding (b) Xxxxxxxxxx may not reject any updated Long Range Forecast for any quantity of Product that is (i) for months [***] of the updated Long Range Forecast less than or equal to the immediately preceding Long Range Forecast, for the corresponding period, and (ii) for months [***] of such updated Long Range Forecast within the Batch Capacity, and (c) Xxxxxxxxxx shall be required to supply to Customer any quantity of Product included in a Binding Forecast that is less than or equal to the Long Range Forecast provided by Customer for the applicable period. Any cancellation or reduction in the quantity of Product purchased during the period of the Binding Forecast by Customer will be subject to Section 10.2. For clarity, (A) no portion of the Long Range Forecast will become a Binding Forecast until such time as the Initial Technology Transfer has been completed so that Product is able to be Manufactured at commercial scale, unless Customer notifies Xxxxxxxxxx in writing that it wishes to place a Binding Forecast prior to completion of the Initial Technology Transfer, and (B) if the Initial Technology Transfer has not been completed to Customer’s reasonable satisfaction in order to enable the Manufacture of commercial quantities of Product by June 30, 2017, Section 19.4 will apply. For the avoidance of doubt, and without limiting any of the foregoing, Xxxxxxxxxx is not obligated to reserve resources as long as the Long Range Forecast is not a Binding Forecast.
Long Range Forecast. Each Fiscal Year, the Purchaser will provide Inotera, for its review and comment, with a written non-binding forecast (each, a “Long Range Forecast”) of the Purchaser’s demand for Conforming Wafers and Pre-Qual Wafers for the next [***] or, if the Purchaser Wind-Down Period has commenced, for the remaining duration of the Purchaser Wind-Down Period.
Long Range Forecast. On the Inception Date, and on a monthly basis thereafter, Pharmion shall furnish Schering with a rolling monthly forecast of the quantities by SKU that Pharmion intends to order during the succeeding twenty-one (21)
Long Range Forecast. In addition to the rolling monthly forecast, no later than [***] years prior to the anticipated date of the FIRST COMMERCIAL SALE, and thereafter, by [***] of each CALENDAR YEAR, MERCK shall provide NASTECH with a long range plan containing a non-binding estimate of annual requirements of PRODUCT for the following [***] CALENDAR YEARS (each a "LONG RANGE PLAN"). If at any time, a LONG RANGE PLAN reasonably suggests any supply issue, particularly as it relates to production capacity, the parties shall discuss how to address the potential shortage. 3.4
Long Range Forecast. Within thirty (30) days from the Effective Date of this Agreement and prior to June 1 of each year thereafter, Dynavax will provide to Baxter in writing an annual forecast for the next five (5) calendar years during the Term of Dynavax’s estimated demand for Product (the “Long Range Forecast”). The initial Long Range Forecast shall be included in the Product Addendum (pursuant to Exhibit D) and shall be considered the “Initial Long Range Forecast”. Baxter specifically agrees that such Long Range Forecasts submitted by Dynavax will be for general planning purposes only, and shall not be binding on Dynavax or Xxxxxx.”

Long Range Forecast. Commencing on (*), and on the twentieth day of the last month of each calendar quarter thereafter, Genta shall submit to Avecia a forecast of the quantity of API which Genta expects Avecia to supply over the following (*)-month period ("Long Range Forecast"). The first (*) of the Long Range Forecast shall be detailed by month and deemed to be the "Rolling Forecast" pursuant to Section 5.1.1. The second (*) of the Long Range Forecast shall be detailed by quarter. Other than as set forth in Section 5.1.4, this Long Range Forecast shall be non-binding.
