Maintenance Manual. 7.3.1 Without prejudice to the other obligations of the Facility Manager, the Facility Manager agrees and acknowledges that it shall be required to undertake the SFM Project, in accordance with certain pre-identified work schedules. 7.3.2 Towards the aforesaid, the Facility Manager shall within 30 days from the Effective Date (and thereafter, on or prior to the 30 days before the commencement of each succeeding Financial Year therefrom), prepare, and submit for the approval of Authority, a repair, operation and maintenance manual (the “Maintenance Manual”), for all aspects of the SFM Project (including the operation, maintenance and repair of the Station Assets and Station Project Utilities). The Maintenance Manual shall be consistent with the requirements of Schedule 2 (Scope of SFM Project) and Schedule 3 (Station Service Level Standards), unless a waiver or relaxation is sought and granted by Authority in accordance with Article 7.2.1 above (whereupon such requirements shall be appropriately deemed to be modified for the relevant approved period). Such Maintenance Manual shall inter alia, provide for the following: (i) The mode and manner of carrying out of the SFM Project, including specifically the proposed measures of the Facility Manager for ensuring compliance requirements of Schedule 2 (Scope of SFM Project) and Schedule 3 (Station Service Level Standards); (ii) The manner of scheduling and deployment of manpower and resources; (iii) Arrangements and procedures for carrying out urgent repairs; (iv) Criteria and process to be adopted for deciding maintenance needs; (v) A cleaning schedule, for cleaning of : (a) toilets, platform area, washable apron, other track within the platform area (as shown on attached plan), sewer lines, circulating areas, water fountains and booths, water storage tanks, concourse, foot over-bridges and other passenger areas; (b) operational areas in the Station Area; (c) parking and other public areas; (d) walls (interior and facade) and signages; (e) Station Project Utilities and equipment (in public and operational areas) at the Station; (f) Other areas in the Station Area; (vi) Painting schedule for painting, colour washing, distemper, polishing, and other allied activities for the Station Area; (vii) Schedule for undertaking Pest and rodent control for the Maintenance Area; (viii) Maintenance schedule for maintenance of Station Project Utilities and Station Assets, in accordance with Good Industry Practices and in compliance with the relevant manufacturer’s specifications; (ix) An inspection schedule for inspection and examination of the condition, state of repair and operational efficiency of various components of the Station Area and the Station Assets and Station Project Utilities thereat; Further the Maintenance Manual shall also be consistent with the requirements of maintenance manuals supplied by Authority for the Station Assets and Station Project Utilities in the Station Area/, as also the approved Maintenance and Replacement Plan. 7.3.3 The aforesaid Maintenance Manual shall, upon being approved by Authority (and subject to the comments of Authority thereon), be binding on the Facility Manager, and the SFM Project shall be undertaken in accordance with the said approved Maintenance Manual. Provided that approved Maintenance Manual (and the approval thereof by Authority), shall not relieve the Facility Manager of its obligation to duly undertake the SFM Project as per Applicable Laws and Good Industry Practices, and the other provisions of the SFM Agreement.

(v) A cleaning schedule, for cleaning of :
(a) toilets, platform area, washable apron, other track within the platform area (as shown on attached Station Area plan), sewer lines, circulating areas, water fountains and booths, water storage tanks, concourse, foot over-bridges and other passenger areas;
(b) operational areas in the Station Area;
(c) parking and other public areas;
(d) walls (interior and facade) and signages;
(e) Station Project Utilities and equipment (in public and operational areas) at the Station;
(f) Other areas in the Station Area;
(vi) Painting schedule for painting, colour washing, distemper, polishing, and other allied activities for the Station Area;
(vii) Schedule for undertaking Pest and rodent control for the Maintenance Area;
(viii) Maintenance schedule for maintenance of Station Project Utilities and Station Assets, in accordance with Good Industry Practices and in compliance with the relevant manufacturer’s specifications;
(ix) An inspection schedule for inspection and examination of the condition, state of repair and operational efficiency of various components of the Station Area and the Station Assets and Station Project Utilities thereat; Further ;
(x) Any special maintenance required to rectify the Maintenance Manual shall also be consistent with the requirements deformations arise due to any construction/ maintenance activity undertaken by IRSDC or/ and Railway. Such activities may include but not limited to trenching/ track maintenance activists, laying of maintenance manuals supplied by Authority for the Station Assets and Station Project Utilities overhead/ underground cables, cutting wall, plaster or any other activity which is not covered in the Station Area/, as also scope of the approved Maintenance and Replacement Plan.Facility Manager,
7.3.3 The aforesaid Maintenance Manual shall, upon being approved by Authority IRSDC (and subject to the comments of Authority IRSDC thereon), be binding on the Facility Manager, and the SFM Project shall be undertaken in accordance with the said approved Maintenance Manual. Maintenance Manual. 7.3.1 Without prejudice The Concessionaire shall procure that all times during the Concession Period, the Project Highway conforms to the other obligations of maintenance requirements set forth in Schedule-F (the Facility Manager, “Maintenance Requirements”) No later than 90(Ninety) days from Appointed Date{Prior to O&M Handover Date} 22 the Facility Manager agrees and acknowledges that it shall be required to undertake the SFM ProjectConcessionaire shall, in accordance consultation with certain pre-identified work schedules.
7.3.2 Towards the aforesaidIndependent Engineer, the Facility Manager shall within 30 days from the Effective Date (and thereafter, on or prior to the 30 days before the commencement of each succeeding Financial Year therefrom), prepare, and submit for the approval of Authority, evolve a repair, operation repair and maintenance manual (the “Maintenance Manual”), ) for all aspects the regular and preventive maintenance of the SFM Project Highway in conformity with the Specifications and Standards, Maintenance Requirements and Good Industry practice, and shall provide 5 (including five) copies thereof to the operation, maintenance Authority and repair of 2 (two) copies to the Station Assets and Station Project Utilities)Independent Engineer. The Maintenance Manual shall be consistent revised and updated once every 3 (three) years and the provisions of this Clause 15.3 shall apply, mutatis mutandis, to such revision. Without prejudice to the provision of Clause 15.3.1, the Maintenance Manual shall, in particular, include provisions for maintenance of the Project Assets and shall provide for life cycle maintenance, routine maintenance and reactive maintenance which may be reasonably necessary for maintenance and repair of the Project Asset, including replacement thereof, such that their overall condition conforms to Good Industry Practice. (a) toiletsthe Independent Engineer shall review the same and convey its comments to the Concessionaire with particular reference to its conformity with the Maintenance Requirements, platform area, washable apron, other track within Maintenance Manual and Safety Requirements. The Concessionaire may modify the platform area (Maintenance Programme as shown on attached plan), sewer lines, circulating areas, water fountains and booths, water storage tanks, concourse, foot over-bridges and other passenger areas;
(b) operational areas may be reasonable in the Station Area;
(c) parking and other public areas;
(d) walls (interior and facade) and signages;
(e) Station Project Utilities and equipment (in public and operational areas) at the Station;
(f) Other areas in the Station Area;
(vi) Painting schedule for painting, colour washing, distemper, polishing, and other allied activities for the Station Area;
(vii) Schedule for undertaking Pest and rodent control for the Maintenance Area;
(viii) Maintenance schedule for maintenance of Station Project Utilities and Station Assets, in accordance with Good Industry Practices and in compliance with the relevant manufacturer’s specifications;
(ix) An inspection schedule for inspection and examination of the condition, state of repair and operational efficiency of various components of the Station Area and the Station Assets and Station Project Utilities thereat; Further the Maintenance Manual shall also be consistent with the requirements of maintenance manuals supplied by Authority for the Station Assets and Station Project Utilities in the Station Area/, as also the approved Maintenance and Replacement Plan.
7.3.3 The aforesaid Maintenance Manual shall, upon being approved by Authority (and subject to the comments of Authority thereon), be binding on the Facility Managercircumstances, and the SFM Project procedure specified in Clause 15.4.1 and 15.4.2 shall be undertaken in accordance with the said approved Maintenance Manual. 7.3.2 Towards the aforesaid, the Facility Manager shall within 30 days from the Effective Date (and thereafter, on or prior to the 30 days before the commencement of each succeeding Financial Year therefrom), prepare, and submit for the approval of Authority, prepare a repair, operation repair and maintenance manual (the “Maintenance Manual”)) for the maintenance of Buses in conformity with Good Industry Practice and the provisions of this Article 17. The Operator shall provide 10 (ten) copies of a provisional maintenance manual (the “Provisional Maintenance Manual”) to the Authority no later than 90 (ninety) days from the Appointed Date. The Authority may review the Provisional Maintenance Manual and convey its comments to the Operator within a period of 15 (fifteen) days from the date of receipt thereof. The Operator shall revise the Provisional Maintenance Manual, for all aspects as may be necessary, and provide to the Authority 50 (fifty) copies of the SFM Project Maintenance Manual, accompanied by an electronic copy thereof, no later than 30 (including thirty) days from the operation, maintenance and repair of date on which it receives comments from the Station Assets and Station Project Utilities)Authority. The Maintenance Manual shall be consistent with revised and updated once every year and the requirements provisions of Schedule 2 (Scope this Clause 17.2 shall apply, mutatis mutandis, to such revision. For the avoidance of SFM Project) and Schedule 3 (Station Service Level Standards)doubt, unless a waiver or relaxation the Parties expressly agree that until the Maintenance Manual is sought and granted by Authority in accordance with Article 7.2.1 above (whereupon such requirements shall be appropriately deemed to be modified for provided hereunder, the relevant approved period). Such Provisional Maintenance Manual shall inter aliaapply.
17.2.2 The Maintenance Manual shall include details of the periodic intervals at which the Operator will perform its Maintenance Obligations on each Bus (“Scheduled Maintenance”). The Operator shall ordinarily undertake Scheduled Maintenance at the Maintenance Depots and shall ensure that the Maintenance Depots are fully equipped with all equipment, provide tools, tackles, Consumables and Spares required to undertake the Scheduled Maintenance of the Buses.
17.2.3 The Operator shall, at least 15 (fifteen) days prior to the date of any Scheduled Maintenance issue a notice to the Authority identifying the Buses that will undergo such Scheduled Maintenance. Such notice shall also specify the estimated time required for such Scheduled Maintenance and the following:estimated date on which such Buses will be made available for operations.
17.2.4 Any maintenance or repair of a Bus, not being Scheduled Maintenance, and arising out of any reason including Breakdown, unsatisfactory performance, defects, deficiencies, accident, vandalism, natural calamity, fire, riots, arson or negligence, shall be undertaken by the Operator as unscheduled maintenance (ithe “Unscheduled Maintenance”). The Parties expressly agree that any and all Unscheduled Maintenance shall be undertaken promptly to procure efficient, safe and reliable operation of the relevant Bus. Any and all Unscheduled Maintenance shall form part of the Maintenance Obligations and shall be undertaken by the Operator at its own cost and expense. Nothing on account of Unscheduled Maintenance must affect the total number of buses in operation as per the terms of the Agreement.
17.2.5 The Operator shall, within 3 (three) The mode and manner days of carrying the arrival of a Bus at a Maintenance Depot for Unscheduled Maintenance arising out of the SFM Projectreasons specified in Clause 17.2.4, including specifically the proposed measures of the Facility Manager for ensuring compliance requirements of Schedule 2 (Scope of SFM Project) and Schedule 3 (Station Service Level Standards);
(ii) The manner of scheduling and deployment of manpower and resources;
(iii) Arrangements and procedures for carrying out urgent repairs;
(iv) Criteria and process to be adopted for deciding maintenance needs;

(a) : toilets, platform area, washable apron, other track within the platform area (as shown on attached plan), sewer lines, circulating areas, water fountains and booths, water storage tanks, concourse, foot over-bridges and other passenger areas;
(b) ; operational areas in the Station Area;
(c) ; parking and other public areas;
(d) ; walls (interior and facade) and signages;
(e) Station ; Project Utilities and equipment (in public and operational areas) at the Station;
(f) ; Other areas in the Station Area;
(vi) ; Painting schedule for painting, colour washing, distemper, polishing, and other allied activities for the Station Area;
(vii) ; Schedule for undertaking Pest and rodent control for the Maintenance Area;
(viii) ; Maintenance schedule for maintenance of Station Project Utilities and Station Assets, in accordance with Good Industry Practices and in compliance with the relevant manufacturer’s specifications;
(ix) ; An inspection schedule for inspection and examination of the condition, state of repair and operational efficiency of various components of the Station Area and the Station Assets and Station Project Utilities thereat; Further the Maintenance Manual shall also be consistent with the requirements of maintenance manuals [supplied by Authority IRSDC (for the Station Assets and Station Project Utilities in the Station Area/Area)]/ [prepared on or prior to the Completion Date under the Development Agreement and approved pursuant thereto]48, as also the approved Maintenance and Replacement Plan.
7.3.3 . The aforesaid Maintenance Manual shall, upon being approved by Authority IRSDC (and subject to the comments of Authority IRSDC thereon), be binding on the Facility Manager, and the SFM Project shall be undertaken in accordance with the said approved Maintenance Manual. Provided that approved Maintenance Manual (and the approval thereof by AuthorityIRSDC), shall not relieve the Facility Manager of its obligation to duly undertake the SFM Project as per Applicable Laws and Good Industry Practices, and the other provisions of the SFM this Agreement.
