Management and Operations Plan. Xxxxxx shall prepare and submit to the Superintendent, for his or her approval (which shall not be unreasonably withheld, conditioned, or delayed), an annual plan for the management and operation of the Premises. The first plan shall be due on or before the date that is thirty (30) days prior to the Commencement Date, and plans for subsequent calendar years shall be due on or before October 1st of each year thereafter. The Management and Operations Plan shall include such information as the Superintendent may reasonably specify from time to time for comparable Park’s facilities, but at a minimum shall include a description of the operations for the upcoming year; anticipated user fees/rental rate for the upcoming year; Lessee’s marketing and outreach efforts for the past year and plans for the upcoming year; and information supporting Xxxxxx’s requestedproposed Public Benefit Program Rent Offset (described in Section 8.7). City shall be deemed to have approved the plan (and all uses and events noted therein) unless it rejects the plan in writing within sixty (60) days of receipt thereof. Lessee may amend or modify the plan from time to time with the prior approval of the Superintendent, which approval shall not be unreasonably withheld, conditioned, or delayed. City shall be deemed to have approved the amended plan (and all uses and events noted therein) unless it rejects the amended plan in writing within forty- five (45) days of receipt thereof.

Management and Operations Plan. 5.1 Approval of Plan DIVRE IV shall be operated at all times in accordance with a Management and Operations Plan approved annually under this Article 5. The Head of Regional Division shall prepare and submit to TELKOM a draft Management and Operations Plan for each year. Following discussion and consultation in good faith with TELKOM, the Head of Regional Division shall make changes, if any, to such plan as he deems advisable and shall thereafter approve such plan in writing prior to the start of the applicable year. A copy of all final Management and Operations Plans approved pursuant to this Section 5.1 shall "be delivered forthwith by the Head of Regional Division to TELKOM and the Investor on or before 31 December of each year during the KSO Period.
Management and Operations Plan. Each year during the term of the agreement, Lessee shall prepare and submit to the General Manager/Chief Executive Officer of Seattle City Light (“General Manager/CEO”) an annual plan for the management and operation of the Premises (the “Management and Operations Plan”). The Lessee shall submit the initial Management and Operations Plan within thirty (30) days from the Commencement date. All subsequent Management and Operations Plans shall be due on or before October 1st of each year of the Lease Term. [NOTE to proposers: the due dates of this annual Plan may be adjusted in negotiations to recognize the Lessee’s fiscal year.] The Management and Operations Plan shall include such information as the General Manager/CEO may reasonably request from time to time, and, at a minimum, shall include a description of (1) the previous year’s activities and programs, the revenue (including gross receipts derived from the sublicensing of the Premises) and expenses, programs offered, number of people served, outreach efforts to traditionally underserved communities, and improvements made to the Premises; and (2) the upcoming year’s programming, anticipated user fees/rental rates for third-party programming, the Lessee’s outreach program to traditionally underserved communities, and anticipated improvements to the Premises. Lessee may amend or modify the Management and Operations Plan from time to time upon prior written notice to the General Manager/CEO.

  • Communications and Operations Management a. Network Penetration Testing - Transfer Agent shall, on approximately an annual basis, contract with an independent third party to conduct a network penetration test on its network having access to or holding or containing Fund Data. Transfer Agent shall have a process to review and evaluate high risk findings resulting from this testing.

  • Maintenance and Operation Member-Generator agrees to maintain their system and facilities in accordance with applicable manufacturer's recommended maintenance schedule and standard prudent engineering practices. Member-Generator covenants and agrees to operate their system, facilities and equipment so as to minimize the likelihood for a malfunction or other disturbance, damaging or otherwise affecting or impairing Cooperative’s electrical system. Member-Generator shall comply with all applicable laws, regulations, zoning, building codes, safety rules and other environmental regulations or restrictions applicable to the design, installation, operation and maintenance of the Member-Generator's System. Member-Generator must, at least once every year, conduct a test to confirm that Member-Generator’s System automatically ceases to energize the output (interconnection equipment output voltage goes to zero) within two (2) seconds of being disconnected from Cooperative’s electrical system. Disconnecting the Member-Generator’s System from Cooperative’s electrical system at the visible disconnect switch and measuring the time required for the unit to cease to energize the output shall satisfy this test. Member-Generator shall maintain a record of the results of these tests and, upon request by Cooperative, shall provide a copy of the test results to Cooperative. If Member-Generator is unable to provide a copy of the test results upon request, Cooperative shall notify Member- Generator by mail that Member-Generator has thirty (30) days from the date Member-Generator receives the request to provide Cooperative with the results of a test. If Member-Generator does not provide Cooperative with the test results within the thirty (30) day time period or if the test results provided to Cooperative show that Member-Generator’s net metering unit is not functioning correctly, Cooperative may immediately disconnect Member-Generator’s System from Cooperative’s electrical system. If Member-Generator’s equipment ever fails this test, Member-Generator shall immediately disconnect Member-Generator’s System from Cooperative's electrical system. Member-Generator’s System shall not be reconnected to Cooperative's electrical system by the Member-Generator until Member-Generator’s System is repaired and operating in a normal and safe manner. Cooperative shall have the right to have a representative present and informed when any such tests are conducted. Cooperative does not warrant the testing procedures or results by the presence of its representative. Member-Generator is responsible for protecting their equipment from transient high voltage spikes caused by lightning and/or transient low voltage conditions caused by faults or short circuits, and from any other causes or events. Therefore, Cooperative shall not be responsible for damage to Member-Generator’s equipment allegedly caused by transient high voltage spikes caused by lightning and/or transient low voltage conditions caused by faults or short circuits or other causes or events. Member-Generator agrees to notify Cooperative no less than thirty (30) days prior to modification of the components or design of the Member-Generator’s System that in any way may degrade or significantly alter the System’s output characteristics. Member-Generator acknowledges that any such modifications will require submission of a new Application and Agreement to Cooperative.

  • Management Generally (a) The management and control of the Partnership shall be vested in the General Partner; however, the Limited Partners shall have certain rights with respect to certain matters of the Partnership as described in this Agreement. The Limited Partners shall have no authority or right to act on behalf of the Partnership in connection with any matter and shall not engage in any way in the day-to-day business of the Partnership.
