MANAGEMENT FUNCTIONS. 4.01 The Union recognizes that the management of the Company and direction of the working forces are fixed exclusively in the Company and without restricting the generality of the foregoing; the Union acknowledges that it is the exclusive function of the Company to: (a) maintain order, discipline and efficiency; (b) hire; assign; direct; promote; demote; classify; transfer; lay-off; recall; suspend; discharge or otherwise discipline non-probationary employees for just cause. (c) determine the nature and kind of business conducted by the Company, the products to be carried, the kinds and locations of equipment, merchandise, goods, fixtures and type of customer service to be used, the control of materials and goods, the methods and techniques of work, the schedules of work, number of personnel to be employed; make studies of and institute changes in jobs and job assignments; discontinue, reorganize, limit, combine, substitute any operation or part thereof; and determine all other functions and prerogatives herebefore invested in and exercised by the Company which shall remain solely with the Company; (d) make and enforce and alter from time to time reasonable rules and regulations to be observed by the employees; (e) discipline or discharge a probationary employee for any reason satisfactory to the Company, providing it acts in good faith and in a non-arbitrary manner.
