Member Qualifications. Each Member shall be, at its election, either the parent organization of its health system or the hospital. Absent the unanimous approval of the Members, each Member must be a Person exempt from federal income Tax under Code § 501(c)(3). Each Member shall hold an interest in the proportion that its Capital Account bears to the aggregate of all of the Capital Accounts for all Members. The Parties shall endeavor to match their respective representation on the EUOC in terms of functional areas and management level.
