Member Vote. Unless a provision of this Agreement specifically provides otherwise, any provision of this Agreement requiring the authorization of, or action taken by, the Members shall require the approval of the Members holding a majority of the Membership Interests.

Member Vote. Unless a provision of this Agreement specifically provides otherwise, prior to a Cheniere Separation Event, any provision of this Agreement requiring the authorization of, or action taken by, the Members shall require the approval of the Members holding a majority of the Class A Membership Interests.

Any such change of the Charitable/Service Budget Allocation Guidelines shall apply solely to the Fiscal Year of the Charitable/Service Budget for which such Charitable/Service Budget Allocation Guidelines have been modified in accordance with the immediately preceding sentence. Any permanent modification of the Charitable/Service Budget Allocation Guidelines and/or amendment to this Operating Agreement must satisfy the requirements of the Foundation By-Laws Article 10: Amendments, Bylaws Article 11: Amendments of the Club’s Bylaws, and Article 22: Amendments of the Club’s Constitution.
Member Vote. An affirmative vote at a meeting duly noticed in accordance with the provisions of this Agreement where the vote of the Members present in person or by proxy constitutes the requisite approval specified in the relevant Section of this Agreement or, if there is no requisite approval stated in the relevant Section, then by an affirmative vote of the Members present either in person or by proxy at such a duly noticed meeting whose vote constitutes a Majority of the Members so present; or

Member Vote. Simultaneously herewith, Kidville shall deliver to Parent a voting agreement, in the form set forth as Exhibit E, of those Kidville Members set forth on Schedule 6.23 to vote any and all Kidville Membership Interests that he, she or it owns at Closing in favor of the Merger and any other transactions contemplated hereby requiring member approval.
