Membership Director Qualifications. To become and remain a Director, an individual must comply with the following membership qualifications (“Membership Director Qualifications”):
(1) while a Director and during the one year immediately before becoming a Director:
(A) be a Member and not commit a Suspension Reason, regardless of suspension;
(B) for at least nine months each calendar year reside, and Use a Cooperative Service, at the individual’s driver’s license residence within from which the Director is nominated or elected if the Cooperative is utilizing Director Districts; and if not, the Cooperative Service Area; and
(2) while a Director, be a Member and not commit a Suspension Reason, regardless of suspension and before becoming a Director and while a Director, and during the one year immediately before becoming a Director:
(A) has not committed a Suspension Reason; and
(B) for at least nine months each calendar year Occupies and Uses a Cooperative Service at a Location within the Director District from which the Director is nominated or elected if the Cooperative is utilizing Director Districts; and if not, the Cooperative Service Area; and
(3) be designated or appointed by the Board.
Membership Director Qualifications. To become or remain a Director, an Individual must comply with the following membership qualifications ("Membership Director Qualifications") while a Director and during the one (1) year immediately before becoming a Director or Director candidate:
(1) be an unsuspended Member who receives a Cooperative Service Provided by the Cooperative in the Director District from which the Member is nominated or elected; and
(2) have his/her permanent legal residence be within the Director District from which nominated or elected; however, the Member may have a permanent legal residence within a city located within the Director District but not served by the Cooperative. An Entity Member may designate an Individual who is an owner of the Entity and is actively involved in operating the Entity to be eligible for election as a Director, provided the Individual meets the other applicable requirements for eligibility.
Membership Director Qualifications. To become and remain a Director, an individual must comply with the following membership qualifications (“Membership Director Qualifications”):
(1) while a Director and during the one year immediately before becoming a Director:
(A) be a Member and not commit a Suspension Reason, regardless of suspension;
(B) for at least nine months each calendar year reside, and Use a Cooperative Service, at the individual’s driver’s license residence within from which the Director is nominated or elected if the Cooperative is utilizing Director Districts; and if not, the Cooperative Service Area; and
(2) while a Director, be a Member and not commit a Suspension Reason, regardless of suspension and before becoming a Director and while a Director, and during the one year immediately before becoming a Director:
(A) has not committed a Suspension Reason; and
(B) for at least nine months each calendar year Occupies and Uses a Cooperative Service at a Location within the Director District from which the Director is nominated or elected if the Cooperative is utilizing Director Districts; and if not, the Cooperative Service Area; and
(3) Notwithstanding the foregoing, an individual who is not a Member but is a partner, member, shareholder or principal owning no less than ten percent (10%) in a Member Entity who is a Member may be Director; provided, however, that the individual must meet and comply with the General Director Qualifications, Membership Director Qualifications and Independence Director Qualifications as if the individual, and not the Member Entity through which the individual’s directorship derives, is or were the Member. If Director Districts are utilized, the individual must reside in and Use a Cooperative Service, at the individual’s driver’s license residence, which must be in the same Director District as the Member Entity for Membership determination. For purposes of Section 4.3(b)(1)(A), the individual must have been a partner, member, shareholder or principal owning no less than ten percent (10%) in a Member Entity for at least one year prior to becoming a Director.
