Merchant Content. The Merchant-User shall supply information and copy for inclusion on its Merchant Site by means of the Admin Console and as otherwise required by ShopHero, including copy related to: the description of the Merchant-User and its policies, promotion of sales, specials and other promotional material, blog posts and other content provided by Merchant-User. The Merchant-User agrees to keep all Merchant Content current, accurate, and in compliance with the ShopHero Acceptable Use Policy. MERCHANT-USER AGREES THAT SHOPHERO WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS THE RESULT OF ANY MERCHANT CONTENT, OR ANY OF MERCHANT-USER’S DEALINGS OR INTERACTIONS WITH THIRD PARTIES OR AS THE RESULT OF THE PRESENCE OF SUCH THIRD PARTY’S CONTENT ON THE MERCHANT SITE.
Merchant Content. 4.1. Upon registration of a Merchant Account, you may submit or post information relating to your Products on the Platform (“Merchant Content”) in accordance with such directions, guidelines and specifications as we may provide from time to time.
Merchant Content. Unless otherwise agreed to by the parties, Merchant shall produce and provide to the Company at Merchant's sole expense technical specifications, textual descriptions for and other information about the products, experiences and/or services contained therein to be offered in connection with the Vouchers ("Merchant Content"). Company shall have the right to approve or reject any Merchant Content in its reasonable discretion. With the prior consent of Merchant, the Company may modify the Merchant Content to satisfy the Company's reasonable marketing requirements.
Merchant Content. Merchant assumes sole responsibility for the accuracy of the Merchant Content including, without limitation, descriptive claims, warranties and guarantees. Merchant agrees that the Merchant Content shall not contain or link to any material that is obscene, threatening, defamatory, unfair, misleading, deceptive, malicious, or which infringes on or violates any applicable law or regulation or any proprietary, contract, moral, privacy or other third party right, or which otherwise exposes itself and/or the Company to civil or criminal liability.
Merchant Content. Merchant shall ensure that all information and data provided to PVM is accurate, not misleading, and complies with applicable Law. Merchant shall ensure that all electronic information, physical or technical data it shares with PVM or Customers, do not contain any harmful codes, hardware or other features designed to obtain unauthorized access to or information from or damage or degrade in any manner any computer system, payment processor, application, or code associated with ecommerce on the PVM platform.
Merchant Content. Merchant shall be responsible for providing all content necessary to enable Miami Grill to perform the Services hereunder, including without limitation: trademarks, logos, branding, artwork, menus, pricing, and other content related to your offerings and restaurant or store (“Merchant Content”). MIAMI GRILL does not claim ownership of Merchant Content. However, when you as a Merchant post or publish Merchant Content on or in the Services, you represent that you own and/or have a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right (including any moral rights) and license to use, license, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, derive revenue or other remuneration from, and communicate to the public, perform and display Merchant Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any worldwide intellectual property right that may exist in Merchant Content.
