MINIMUM ADVERTISED PRICING POLICY. Crayon Rocks recognize that our success is tied to our customers and to the success of our network of select authorized dealers. We know many of our dealers invest significant time and resources to deliver an extraordinary customer experience. We want to protect their ability to do so, while at the same time discouraging price-based advertising that would be detrimental to our dealers' efforts. As a result, Crayon Rocks has unilaterally established this Minimum Advertised Price ("MAP") Policy.

MINIMUM ADVERTISED PRICING POLICY. 5.1 The MAP Policy is violated whenever any ONLINE RETAILER of SHIMANO’s Brands uses Shimano’s Protected Brand Names which shall include each of the brand names together with anymisspelling or other derivative thereof, without limitation (collectively, the “Protected Brand Names”); and/or any other SHIMANO trade name or intellectual property rights (together with Protected Brand Names, the “SHIMANO Intellectual Property”) in connection with the sale of Brand Products on any Approved Website or as part of a search engine marketing campaign of any kind or any other digital marketing program.

MINIMUM ADVERTISED PRICING POLICY. 1. All products must be advertised at the “MAP” price listed in the Kahili Productions U.S. Dealer Price List and Dealer reserves the right to advertise: “call for price” as an alternative to publishing a sales price.
MINIMUM ADVERTISED PRICING POLICY. The Minimum Advertised Price (“MAP”) will correspond with the Manufacturer Suggested Retail Price (“MSRP”). Resellers may not advertise Products at a price lower than 10% off of MSRP and, if the price listed equals the applicable MAP, it must be listed without any strike-through, alteration, or other obliteration. This Policy applies to the advertised price of Products before shipping, handling, or additional charges are levied. This Policy applies to the advertised price of Products as adjusted for all promoted discounts, rebates, credits, trade-ins, coupons, premiums, promotions, free goods, and gifts. Promotions that effectively lower the retail price of Products below MAP or aggregate the product price to add a shipping price to satisfy MAP are examples of violations of this Policy. This Policy applies to all marketing and advertising of Products in whatever form, manner, or medium; online informational product pages; and any price information that can be accessed through a link or any other means to initiate the display of informational product pages, including without limitation pricing feeds to shopping search engines such as Google Shopping; but excludes emails sent to, or other direct communication with, a consumer in response to a request for pricing; Products sold or offered to a consumer within the Reseller’s retail location; and Reseller’s ability to advertise price matching so long as long as Reseller is otherwise in compliance with this Policy. Temporary sales, discounts, and promotions that effectively lower the retail price of Products below MAP must receive prior written authorization from Sentia. Discounting the price of any Products below MAP for a clearance or liquidation sale must receive prior written authorization from Sentia. Please note that Resellers will be unable to reorder such Products from the Company again and may be suspended or terminated if a pattern of this behavior is recognized. Sentia may, from time to time, run promotions on select Products that will include a discount off of MAP, the details of which will be communicated in writing by Sentia. Sentia reserves the right to modify, suspend, or terminate MAP with respect to some or all Products at any time.

  • Pricing Policy All of our prices are subject to change. Prices and price guarantees exclude taxes and fees, however designated, including, but not limited to applicable regulatory, PEG and franchise fees, and regulatory recovery fees, cost recovery charges, Subscriber Line Charges, Line Access charges and/or Network Line Fees, carrier access fees and/or other access fees, surcharges, excises, program related fees (such as universal service, telecom relay services for the visually/hearing impaired, rights-of-way access, and programs supporting the 911/E911 system), additional equipment, installation, service call and repair charges, late fees and usage-based and separately billed charges (collectively, the “Separate Fees and Charges”). The applicable Subscriber Line Charge, Network Line Fee and Carrier Service Fee for phone customers will apply and vary depending upon your service location and the phone services to which you subscribe. The Subscriber Line Charge, Network Line Fee and Carrier Service Fee are not government mandated taxes or fees, and are subject to change. Customers who participate in a promotional offer with a discount on monthly service fees will revert back to the standard monthly fee for the service at the end of the promotional period, unless the customer’s service is earlier terminated for any reason. Any promotional, discounted or guaranteed price for service applies only to the price of the particular service or services identified, and excludes the Separate Fees and Charges. Not all of the Separate Fees and Charges apply to all services, or in all service locations. Any applicable money-back guarantee given at the time Customer subscribes to the WOW! service is available only to first- time subscribers for refund of the first regular monthly payment made by Customer for the WOW! service (excluding taxes and other fees, equipment charges, optional service charges, WOW! OnDemand, pay- per-view, and long-distance and other usage based charges). Subject to applicable law, to be eligible for a money-back guarantee refund, Customers must: (i) timely pay for all services, taxes and fees, comply with applicable service agreement(s) and have returned all equipment; and (ii) disconnect and request a refund at the same time within thirty (30) days of service activation. The refund will not apply if service is reestablished by Customer within 180 days of disconnection. WOW!’s money-back guarantee policies are subject to change. Customers who have agreed to a minimum term arrangement (such as a Minimum Term Plan) are subject to additional terms, including early termination fees.

  • DRUG POLICY Contractor certifies that it maintains a drug free work place environment to ensure worker safety and workplace integrity. Contractor agrees to provide a copy of its drug free workplace policy at any time upon request by the State.

  • NON-SMOKING POLICY CONTRACTOR shall establish a written non-smoking policy 16 shall specify that the facility is “smoke free” and that designated smoking areas are outside the visiting 17 areas at the facility.

  • Purchase Order Pricing/Product Deviation If a deviation of pricing/product on a Purchase Order or contract modification occurs between the Vendor and the TIPS Member, TIPS must be notified within five (5) business days of receipt of change order. Termination for Convenience of TIPS Agreement Only TIPS reserves the right to terminate this agreement for cause or no cause for convenience with a thirty (30) days prior written notice. Termination for convenience is conditionally required under Federal Regulations 2 CFR part 200 if the customer is using federal funds for the procurement. All purchase orders presented to the Vendor, but not fulfilled by the Vendor, by a TIPS Member prior to the actual termination of this agreement shall be honored at the option of the TIPS Member. The awarded Vendor may terminate the agreement with ninety (90) days prior written notice to TIPS 0000 XX Xxx Xxxxx, Xxxxxxxxx, Xxxxx 00000. The vendor will be paid for goods and services delivered prior to the termination provided that the goods and services were delivered in accordance with the terms and conditions of the terminated agreement. This termination clause does not affect the sales agreements executed by the Vendor and the TIPS Member customer pursuant to this agreement. TIPS Members may negotiate a termination for convenience clause that meets the needs of the transaction based on applicable factors, such as funding sources or other needs. TIPS Member Purchasing Procedures Usually, purchase orders or their equal are issued by participating TIPS Member to the awarded vendor and should indicate on the order that the purchase is per the applicable TIPS Agreement Number. Orders are typically emailed to TIPS at xxxxxx@xxxx-xxx.xxx. • Awarded Vendor delivers goods/services directly to the participating member. • Awarded Vendor invoices the participating TIPS Member directly. • Awarded Vendor receives payment directly from the participating member. • Fees are due to TIPS upon payment by the Member to the Vendor. Vendor agrees to pay the participation fee to TIPS for all Agreement sales upon receipt of payment including partial payment, from the Member Entity or as otherwise agreed by TIPS in writing and signed by an authorized signatory of TIPS.

  • FIRM DISCOUNT AND PRICING STRUCTURE Contractor guarantees that prices quoted are equal to or less than prices quoted to any other local, State or Federal government entity for services of equal or lesser scope. Contractor agrees that no price increases shall be passed along to the County during the term of this Contract not otherwise specified and provided for within this Contract.
