Mitigations. (a) Each of the Parties agrees to take all commercially reasonable steps to mitigate their respective Losses upon and after becoming aware of any event or condition which would reasonably be expected to give rise to any Losses that are indemnifiable hereunder. (b) Upon making any payment to the Indemnified Party for any indemnification claim pursuant to this Article 6, the Indemnifying Party shall be subrogated, to the extent of such payment, to any rights which the Indemnified Party may have against any third parties with respect to the subject matter underlying such indemnification claim and the Indemnified Party shall assign any such rights to the Indemnifying Party.

Mitigations. The Partners will agree a protocol for agreeing amendments to the budget setting model in subsequent years. This will include consideration of:  Treatment of prior year overspends  Treatment of efficiency savings delivered from previous years
Mitigations. Owner agrees to contribute to the costs of public facilities and services in the amounts set forth in the Plan Documents, Mitigation Monitoring and Reporting Program and Conditions of Approval, as required to mitigate impacts of the development, occupancy and use of the Property (“Mitigations”). City and Owner recognize and agree that but for Owner’s contributions to mitigate the impacts arising as a result of the entitlements granted pursuant to this Agreement, City would not and could not approve the development of the Property as provided by this Agreement. City’s approval of development of the Property is in reliance upon, and in consideration of, Owner’s agreement to make contributions toward the cost of public improvements and public services as provided to mitigate the impacts of development of the Property pursuant to this Agreement.
Mitigations. The following mitigation is required to reduce the threat of disturbance to wildlife during implementation of this project: • Maintain a limited operating period (LOP), prohibiting activities from March 1 through June 30. This LOP is intended primarily to protect xxxxxx during the xxxxxxx season, but would protect other wildlife species from disturbance during their xxxxxxx/nesting season as well.

Insurance companies (primarily), providers, and government officials should work to understand potential opportunities for medical malpractice and design the correct guidance in collaboration with physicians, providers, and legal entities like policymakers ii. Hospitals/physicians/all providers who provide telemedicine services should work with their informatics/IT teams to ensure the proper network and security systems are in place to protect patient information and negate any potential data breaches. iii. Legal policies, standards, guidelines at the local, state, and federal level for telemedicine practice and data management should be developed to ensure physicians can safely give medical advice to patients.

Related to Mitigations

  • Mitigation Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise and there shall be no offset against amounts due Executive under this Agreement on account of any remuneration attributable to any subsequent employment that Executive may obtain.

  • Mitigation; Offset The Executive is under no obligation to seek other Employment or to otherwise mitigate the obligations of the Company under this Agreement, and the Company may not offset against amounts or benefits due Executive under this Agreement or otherwise on account of any claim (other than any preexisting debts then due in accordance with their terms) the Company or its affiliates may have against him or any remuneration or other benefit earned or received by Executive after such termination.

Employee shall not be required to mitigate the amount of any payment provided pursuant to this Agreement by seeking other employment or otherwise, and except as provided in Section 8(d)(iv) hereof, the amount of any payment provided for pursuant to this Agreement shall not be reduced by any compensation earned as a result of Employee’s other employment or otherwise.

  • Mitigation and Corrective Action Business Associate shall mitigate, to the extent practicable, any harmful effect that is known to it of an impermissible use or disclosure of PHI, even if the impermissible use or disclosure does not constitute a Breach. Business Associate shall draft and carry out a plan of corrective action to address any incident of impermissible use or disclosure of PHI. If requested by Covered Entity, Business Associate shall make its mitigation and corrective action plans available to Covered Entity. Business Associate shall require a Subcontractor to agree to these same terms and conditions.

  • Mitigation Measures Company shall take commercially reasonable measures (except measures causing it to incur out-of-pocket expenses which BNYM does not agree in advance to reimburse) to mitigate losses or potential losses to BNYM, including taking verification, validation and reconciliation measures that are commercially reasonable or standard practice in the Company’s business.

  • Investigations and Remediations Lessor shall retain the responsibility and pay for any investigations or remediation measures required by governmental entities having jurisdiction with respect to the existence of Hazardous Substances on the Premises prior to the Start Date, unless such remediation measure is required as a result of Lessee's use (including "Alterations", as defined in Paragraph 7.3(a) below) of the Premises, in which event Lessee shall be responsible for such payment. Lessee shall cooperate fully in any such activities at the request of Lessor, including allowing Lessor and Lessor's agents to have reasonable access to the Premises at reasonable times in order to carry out Lessor's investigative and remedial responsibilities.

  • No Mitigation Executive shall not be required to mitigate the amount of any payment provided for in this Agreement by seeking other employment or otherwise and no such payment shall be offset or reduced by the amount of any compensation or benefits provided to Executive in any subsequent employment.

  • Mitigation and Offset Executive shall not be required to mitigate the amount of any payment provided for in this Agreement by seeking employment or otherwise, nor to offset the amount of any payment provided for in this Agreement by amounts earned as a result of Executive's employment or self-employment during the period he is entitled to such payment.
